四通新材(300428.SZ)擬收購保定隆達39.79%少數股權
格隆匯 8 月 28日丨四通新材(300428.SZ)公佈，公司擬以發行股份的方式購買日本金屬持有的保定隆達25%股權，以發行股份的方式購買北京邁創持有的保定隆達10.96%股權，以發行股份的方式購買保定安盛持有的保定隆達3.83%股權。
此次發行價格採用定價基準日前120個交易日公司股票交易均價作為市場參考價，交易各方協商確定為14.52元/股，不低於該市場參考價的80%(即12.90元/股)。發行價格的確定符合董事會召開時相關法律法規的規定。公司需向交易對方合計發行股份2138.4605萬股。
此次交易中，公司擬向不超過35名符合中國證監會規定條件的特定投資者非公開發行股票募集配套資金，募集配套資金總額不超過3.1億元，且擬發行的股份數量不超過此次發行前公司總股本的30%，亦不超過此次交易中以發行股份方式購買資產交易價格的100%。
標的資產本次評估基準日為2020年6月30日，保定隆達未經審計的歸屬於母公司所有者權益賬麪價值為60507.18萬元，根據國融興華評估對標的資產的預評估，標的公司100%股東權益價值於評估基準日的預評估價值為7.95億元。交易雙方基於該預評估價值，協商確定標的資產的交易價格為31050.45萬元。截至預案簽署日，評估工作尚未完成，如果評估機構最終出具的評估報告中標的資產的評估價值高於上述轉讓對價的，標的資產的交易價格維持上述金額不變。如果評估機構最終對標的資產出具的評估報告中的評估價值低於上述轉讓對價的，交易雙方將在協商後以補充協議的方式確定標的資產的交易價格及對價支付方式。
2020年7月，四通新材完成了對新天津合金100%股權和新河北合金100%股權的收購，通過新河北合金間接持有了保定隆達60.21%股權。公司的主營業務在功能中間合金新材料和輕量化鋁合金車輪研發、生產和銷售的基礎上，新增鑄造鋁合金和變形鋁合金的研發、製造和銷售。此次交易為收購保定隆達39.79%少數股權，因此此次交易為同行業併購。
公司中間合金新材料是標的公司鑄造鋁合金的關鍵原材料之一，而標的公司鑄造鋁合金又是公司輕量化鋁合金車輪的主要原材料，因此此次併購屬於上下游併購；符合《持續監管辦法》和《重組審核規則》規定的“上市公司實施重大資產重組或者發行股份購買資產的，標的資產所屬行業應當符合創業板定位，或者與上市公司處於同行業或者上下游”。
