西水股份(600291.SH)：中報計提資產減值等事宜收到上交所監管函
格隆匯 8 月 28日丨西水股份(600291.SH)公告，2020年8月27日，內蒙古西水創業股份有限公司(以下簡稱“公司”)收到上海證券交易所《關於內蒙古西水創業股份有限公司2020年半年度報告的監管工作函》(上證公函【2020】2478號)(以下簡稱“《工作函》”)，現將具體內容公告如下：
“內蒙古西水創業股份有限公司：
8月27日，你公司提交披露《2020年半年度報告》。2020年1-6月，公司實現營業收入28億元，歸母淨利潤-270.90億元，主要系公司主要控股子公司天安財產保險股份有限公司(以下簡稱天安財險)計提投資資產減值。同時，天安財險對2020年期初的相關財務數據進行了追溯調整。鑑於上述情況，根據本所《股票上市規則》第17.1條的規定，對你公司提出如下監管要求。
一、半年報披露，公司報告期內計提信用減值損失577.57億元，主要系天安財險所持的新時代信託股份有限公司發行的集合資金信託計劃。請公司審慎核實並補充披露：(1)結合相關會計準則，及公司所持新時代信託產品的具體構成、底層資產、擔保物情況等，説明公司資產減值測算的具體過程，包括但不限於主要參數選取及依據，並在此基礎上充分論證減值計提金額是否準確、恰當；(2)説明減值跡象出現的具體時點，公司遲至本期才計提相關減值的合理性和審慎性，是否存在前期計提不足的情形，是否存在前期業績虛假或調節利潤的情形。
二、根據披露，天安財險於2018年與天安人壽、華夏人壽簽署了相關信託計劃受益權轉讓協議及回購事項，但未就相關回購事項進行相應財務記賬。同年，天安財險與天安人壽簽署有關標的公司的股權轉讓協議，該協議已於2019年1月解除，但天安財險未進行相應財務處理。上述事項導致公司2018年及2019年度合併報表存在重大差錯，需要對2020年期初的相關數據進行追溯調整。其中，分別調增期初“其他債權投資”和“賣出回購金融資產”363.16億元，調減期初歸屬於母公司所有者權益-1.94億元。請公司在全面核實的基礎上補充披露：(1)上述會計差錯形成的具體原因及相關責任人；(2)公司前期簽署相關資產轉讓協議及回購事項等是否屬於應當披露事項，是否存在前期信息披露不充分的情形。
三、你公司及全體董事、監事、高級管理人員應當勤勉盡責，全面核實公司的治理和內控情況，採取一切必要措施維護公司正常生產經營秩序，保證財務信息披露的真實、準確、完整。同時，鑑於公司目前已經資不抵債，公司董事、監事及高級管理人員應當持續關注公司的生產經營情況及風險化解進展，及時履行信息披露義務。
請你公司及全體董事、監事、高級管理人員本着對全體投資者負責的態度，認真落實本工作函要求，切實核實有關情況，及時履行信息披露義務。”
