德視佳(01846.HK)擬收購德國眼科私人執業公司
格隆匯 8 月 26日丨德視佳(01846.HK)公告，於2020年8月17日，集團(i)向公司醫療事務高級副總裁(國際)Michael Christian Knorz教授("Knorz教授")提交一份不具約束力的指示性要約函件("PMK要約函件")；及(ii)向Knorz Vermgensverwaltung GmbH("Knorz GmbH"，一間由Knorz教授及其家庭成員擁有的公司)及德國海德堡大學曼海姆醫學院(Universit tsklinikum Mannheim)("UM")提交一份不具約束力的指示性要約函件("FreeVis要約函件"，連同PMK要約函件，統稱"該等指示性要約函件")。
根據該等指示性要約函件，待與對方就意向書進行進一步磋商及簽署最終及具約束力協議後，集團擬收購：(i)Augen rztlichePrivatpraxisProf.Dr.MichaelC.Knorz("PMK")全部股權，該公司為德國眼科私人執業公司，專門從事晶體置換手術，由Knorz教授全資擁有；及(ii)FreeVisLASIKZentrumMannheimGmbH("FreeVisGmbH")最少55%及最多100%股權，該公司為德國有限公司，於德國曼海姆經營一間眼科診所，專門從事屈光性激光手術，並由KnorzGmbH及UM分別擁有55%及45%股權，於2020年8月26日，集團接獲(i)Knorz教授發出的函件，表示其願意根據PMK要約函件所提供的條款與集團進行磋商；及(ii)KnorzGmbH發出的函件，表明其願意根據FreeVis要約函件所提供的條款與集團進行磋商。於公告日期，集團尚未收到UM有關FreeVis要約函件的回覆。
集團一直積極尋求市場機遇以擴大其服務網絡，此舉可增加協同效應併為集團的眼科服務帶來裨益。可能收購事項符合集團於德國的增長策略。可能收購事項將進一步擴大集團於德國的現有業務，同時提升其市場領導地位。董事相信，可能收購事項將有助推動集團長遠收益及溢利增長。
