恆生電子(600570.SH)：控股股東上層股權結構發生變化
格隆匯 8 月 25日丨恆生電子(600570.SH)公佈，公司於2020年8月24日收到控股股東恆生集團通知，恆生集團的上層股權結構發生變化。
恆生集團持有公司20.72%的股份，為公司控股股東。
螞蟻科技集團股份有限公司(“螞蟻集團”)持有恆生集團100%的股權。杭州君瀚股權投資合夥企業(有限合夥)(“杭州君瀚”)和杭州君澳股權投資合夥企業(有限合夥)(“杭州君澳”)合計持有螞蟻集團50.52%的股份，為螞蟻集團控股股東。
杭州雲鉑投資諮詢有限公司(“杭州雲鉑”)為杭州君瀚和杭州君澳的普通合夥人和執行事務合夥人，通過控制杭州君瀚和杭州君澳間接控制螞蟻集團50.52%的股份，並控制恆生集團100%股權。
此次變動前，馬雲持有杭州雲鉑100%股權，為公司實際控制人。
根據馬雲與井賢棟、胡曉明、蔣芳等三名自然人分別簽署的《關於杭州雲鉑投資諮詢有限公司之股權轉讓協議》，馬雲將其持有的杭州雲鉑66%的股權平均轉讓予井賢棟、胡曉明、蔣芳等三名自然人。於2020年8月21日各方完成前述股權轉讓的交割後，馬雲持有杭州雲鉑34%的股權，井賢棟、胡曉明、蔣芳等三名自然人分別持有杭州雲鉑22%的股權。前述各方於2020年8月21日簽署了一份《一致行動協議》。
根據各方簽署的《杭州雲鉑投資諮詢有限公司章程》及《一致行動協議》，股東會為杭州雲鉑的最高權力機構，杭州君瀚及杭州君澳就其持有的螞蟻集團股份行使表決權、杭州君瀚和杭州君澳向螞蟻集團提名董事、監事等股東提案權的行使以及杭州君瀚和杭州君澳增持或者減持其持有的螞蟻集團股份，均應由杭州雲鉑股東會審議，並需要經過有表決權的股東所持表決權的三分之二以上批准，因此馬雲於相關事項擁有否決權，並且在杭州雲鉑股東會未通過相關決議時，其他股東應按照馬雲的決定投票，作出並簽署相關股東會決議。
此次變動前，馬雲為公司的實際控制人。此次變動後，根據《杭州雲鉑投資諮詢有限公司章程》以及《一致行動協議》的約定，馬雲仍為公司的實際控制人，保持不變。
