綠景中國地產(00095.HK):控股股東注入白石洲項目55%權益

格隆匯 8 月 25日丨綠景中國地產(00095.HK)公佈,於2020年8月25日,公司直接全資附屬大灣區智慧城市有限公司擬分別認購富業認購股份、勝成認購股份及眾集認購股份,代價分別為人民幣120萬元、人民幣138萬元及人民幣149萬元,將由認購人分別於完成時以現金支付予富業、勝成及眾集。

於公告日期,富業、勝成及眾集各自由控股股東黃康境全資擁有,並分別間接持有控股公司的25%、24%及26%權益。

於完成後,富業將分別由認購人及黃康境擁有70%及30%權益,勝成將分別由認購人及黃康境擁有75%及25%權益,以及眾集將分別由認購人及黃康境擁有75%及25%權益。富業、勝成及眾集各自將成為公司的非全資附屬公司。

公告稱,於公告日期,控股公司由公司間接擁有25%權益,以及分別由富業、勝成及眾集擁有25%、24%及26%權益。於完成後,控股公司將分別由認購人及黃康境間接擁有約80%及20%權益,並將成為公司非全資附屬公司。

控股公司的主要資產為深圳綠景企業的股權投資。根據相關股權設置,控股公司為深圳綠景企業的全資控股股東,而深圳綠景企業全資控股的項目公司主要從事開發白石洲城市更新項目。白石洲城市更新項目位於深圳市南山區深南大道,毗鄰科技園及華僑城片區,是深圳目前航母級的城市更新項目,根據已經獲批的專項規劃,該項目總計容建築面積為358萬平方米,分三期進行開發。除非有不可預知的情況,該項目的總體開發週期預計為八至十年。目前,項目公司正在積極推進白石洲城市更新項目的前期工作。

此前披露稱,公司控股股東黃康境計劃適時將其持有的優質城市更新項目逐步注入公司,為公司提供充足而優質的土地儲備。於完成後,公司及黃康境將分別間接持有控股公司約80%及20%的股權,而控股公司之全資子公司深圳綠景企業通過項目公司直接控制白石洲城市更新項目(即位於深圳市南山區黃金地段獲市場認可之優質住宅及商業項目)的發展,從而更好的保障項目推動並保障集團的權益。
