四環醫藥(00460.HK)：國家開發投資集團擬8億元認購附屬公司18.60%股權
格隆匯 8 月 24日丨四環醫藥(00460.HK)發佈公告，2020年8月21日，來自國家開發投資集團的該等投資者有條件同意認購軒竹(石家莊)生物科技有限公司(公司間接全資附屬公司)合共18.60%的股權(按全面攤薄基準計算)，總代價為人民幣8億元。有關訂約方於同日訂立認購協議及股東協議。根據認購協議，投資者A與投資者B已有條件同意認購目標公司發行的約人民幣1.97億元及6571.43萬元的註冊資本，代價分別為人民幣6億元及2億元。
預期於完成前及如認購協議項下的先決條件所規定，軒竹香港將向僱員激勵平台及目標集團公司若干特定個別僱員以代價約人民幣1.25億元轉讓目標公司的註冊資本人民幣7969.5萬元(相當於6.93%股權)，以建立僱員激勵計劃。僱員激勵計劃轉讓完成後，目標公司將分別由軒竹香港及僱員激勵計劃持有93.07%及6.93%股權。根據股東協議，該等投資者有權要求目標公司或任何目標公司股東根據股東協議的條款購回其各自於目標公司的全部或部分股權。
公司間接全資附屬公司軒竹(石家莊)生物科技有限公司(前稱軒竹(海南)醫藥科技有限公司)(“目標公司”)於2018年9月5日在中國成立，從事研究、開發及生產有關腫瘤、新陳代謝及抗感染類新藥並將該等藥物工業化。於該公告日期，目標公司為公司的間接全資附屬公司。僱員激勵計劃轉讓完成後，目標公司將由公司及僱員激勵計劃分別持有93.07%及6.93%股權。完成僱員激勵計劃轉讓及認購事項後，目標公司將由投資者A、投資者B、軒竹香港及僱員激勵計劃分別持有13.95%、4.65%、75.76%及5.64%股權。
京津冀產業協同發展投資基金(有限合夥)(“投資者A”)為於中國成立的有限合夥及從事投資控股。其主要股東包括先進製造產業投資基金(有限合夥)(由中國財政部間接控制)、國投、深圳市招商招銀股權投資基金合夥企業(有限合夥)(間接由招商銀行(03968.HK)及招商證券(06099.HK)控制)、北京首鋼基金有限公司(間接由北京市國資委控制)及天津市海河產業基金合夥企業(有限合夥)(間接由天津市國資委控制)。先進製造產業投資基金二期(有限合夥)(“投資者B”)為於中國成立的有限合夥及從事投資控股。其主要股東包括中國財政部、國投及招商局資本控股。
公告表示，認購事項為集團帶來寶貴機會，以實現收益並支持現金流以進行戰略重新定位，並就長遠而言將改善集團的營運及財務前景。此外，於來自國家開發投資集團的該等投資者成為目標公司的股東後，集團的創新藥物平台、集團及國家開發投資集團未來將能夠在創新藥物的研發及引進方面進行全面合作。
集團計劃將認購事項的所得款項用於進一步開發集團的中後期臨牀產品管線及引進更多後期產品項目，以期集團能夠為中國患者提供更新更優的治療方案。認購事項及僱員激勵計劃轉讓將有助於目標公司提高其效率和競爭力以及適應中國政府政策(如新的藥品上市許可持有人制度)及競爭環境的變化。此外，認購事項將有助於集團孵化一批具有競爭優勢的附屬公司並能以通過吸引投資者或以合同加工外包模式運營進行獨立運營。
