國立科技(300716.SZ)：擬向銀行申請不超5000萬元綜合授信 同時開展資產池業務
格隆匯 8 月 21日丨國立科技(300716.SZ)公佈，公司第二屆董事會第二十五次會議審議通過了《關於向銀行申請綜合授信並擔保及開展資產池業務的議案》，同意公司及控股子公司廣東國立供應鏈管理有限公司(以下簡稱“國立供應鏈”)、肇慶國立新材料有限公司(以下簡稱“國立新材料”)、東莞市國立飛織製品有限公司(以下簡稱“國立飛織”)基於生產經營及業務發展需要，向浙商銀行股份有限公司東莞分行(以下簡稱“浙商銀行東莞分行”)申請融資，具體融資事項如下：
1、公司向浙商銀行東莞分行申請一般授信額度不超過人民幣5000萬元，該授信額度為公司及控股子公司國立供應鏈、國立新材料、國立飛織共用，子公司分配額度如下：國立供應鏈不超過3000萬元、國立新材料不超過500萬元、國立飛織不超過1500萬元，公司在實際使用時可根據資金需求調整公司及上述各子公司的融資額度。公司為上述子公司的融資提供擔保。業務期限內該額度可循環使用，業務品種包括但不限於貸款、票據、保函、貿易融資、應收款保兑等。公司控股股東東莞市永綠實業投資有限公司、實際控制人邵鑑棠和楊娜為公司本次授信提供連帶責任保證擔保，公司免於支付擔保費用。
2、公司及控股子公司國立供應鏈、國立新材料、國立飛織和浙商銀行東莞分行開展“湧金司庫”業務融資，湧金司庫業務是指合作銀行為滿足公司對所擁有的資產進行統一管理、統籌使用的需要，向公司提供的資產管理與融資服務等功能於一體的綜合金融服務平台，是合作銀行對企業提供流動性服務的主要載體。資產池入池資產是指公司合法擁有的，向合作銀行申請管理或進入資產池進行質押的權利或流動資產，包括但不限於存單、保證金、票據及其他資產等。
公司及上述三家子公司與浙商銀行東莞分行擬開展總額不超過人民幣8000萬元的“湧金司庫”項下集團資產池業務，如上述子公司使用，具體為國立供應鏈不超過5000萬元、國立新材料不超過1500萬元、國立飛織不超過1500萬元，實際使用時可根據資金需求調整上述各公司的融資額度。業務期限內該額度可循環使用，具體業務期限以各公司與浙商銀行東莞分行最終簽署的合同和相關文件中的約定期限為準。公司未來將與上述子公司存在互保關係，擔保總額度不超過上述額度。在風險可控的前提下，公司及子公司為資產池的建立和使用可採用最高額質押、一般質押、票據質押、保證金質押等多種擔保方式。
本次申請銀行融資的決議有效期為董事會審議通過之日起12個月內有效，在此期間內，融資額度可循環使用。
