三力士(002224.SZ)：信披違規收到浙江證監局警示函
格隆匯 8 月 20日丨三力士(002224.SZ)公佈，公司於近日收到中國證券監督管理委員會浙江監管局下發的《關於對三力士股份有限公司及相關人員採取出具警示函措施的決定》(【2020】69號，以下簡稱“警示函”)，現將內容公告如下：
一、警示函內容
三力士股份有限公司、吳培生、吳瓊瑛、郭利軍：
我局發現三力士股份有限公司存在以下違規事項：
2018年10月25日至2020年5月27日，三力士實際控制人通過投資方式、提前支付工程款方式累計佔用三力士資金27847.60萬元。針對上述事項，三力士未履行審議程序，未及時對外披露，構成實際控制人違規佔用上市公司資金的行為。截至2020年5月27日，上述佔用資金及利息已歸還。上述行為違反了《上市公司信息披露管理辦法》第二條、第三條、第四十八條以及《關於規範上市公司與關聯方資金往來及上市公司對外擔保若干問題的通知》第一條的規定。三力士實際控制人吳培生、董事長兼總經理吳瓊瑛、董事會祕書兼財務總監郭利軍對上述行為負有主要責任。根據《上市公司信息披露管理辦法》第五十八條、第五十九條的規定，我局決定對你們分別採取出具警示函的監督管理措施，並記入證券期貨市場誠信檔案。你們應充分吸取教訓，加強相關法律法規學習，提高公司規範運作水平和信息披露質量，採取切實有效措施杜絕此類違規行為再次發生，並於2020年8月31日前向我局提交書面整改報告。如果對本監督管理措施不服的，可以在收到本決定書之日起60日內向中國證券監督管理委員會提出行政複議申請，也可以在收到本決定書之日起6個月內向有管轄權的人民法院提起訴訟。複議與訴訟期間，上述監督管理措施不停止執行。
二、相關説明
截止本公告日，公司已將上述監管措施決定的內容告知相關責任人，公司及相關責任人將認真吸取教訓，切實加強對證券法律法規的學習，嚴格按照財務會計管理制度及信息披露制度的有關規定執行，杜絕此類事件的再次發生，不斷提高合規意識和信息披露質量，維護公司及全體股東利益，促進公司健康、穩定和持續發展。
