信義能源(03868.HK)更改剩餘IPO融資資金用途：用於收購中國太陽能發電場項目
格隆匯 8 月 20日丨信義能源(03868.HK)公佈，有關公佈公司IPO所得款項淨額的90%將用於支付協定目標價，而餘下10%將用作集團的一般營運資金及貸款再融資。在協定目標價中，50%的款項於(a)上市日期第四週年及(b)收取目標組合的電價調整應收款項後分期(以較早者為準)支付。招股章程亦披露，部分或全部未動用所得款項淨額將用於(a)作出短期計息存款、(b)購買貨幣市場工具及(c)購買投資級債券產品。
公司自全球發售收取的所得款項淨額實際金額為37.62億港元，而集團已動用20.42億港元支付協定目標價的50%及3.86億港元作為集團的一般營運資金及貸款再融資。截至2020年6月30日，未動用所得款項淨額結餘為13.35億港元。董事會一直在尋求各種投資方案，包括貨幣市場工具及投資級債券產品，以在可接受風險水平下提供合理投資回報。
由於新型冠狀病毒疾病的傳播，全球金融市場經歷了重大波動。全球封鎖已導致全球多個主要經濟體出現經濟衰退。利率亦維持於低水平，主要由於政府實施經濟刺激政策所致。由於整體宏觀經濟及投資環境不利，董事相信投資於貨幣市場工具及投資級債券產品未必能為集團帶來合理的投資回報。
鑑於上文所述，董事擬將未動用所得款項淨額中最多全額用於收購中國太陽能發電場項目，包括根據太陽能電站(一)協議)收購發電場項目。於實施2019年平價上網通知後，已竣工及可供出售的平價上網太陽能發電場項目數目不斷增加。董事相信，該等平價上網太陽能發電場項目可從發電產生持續現金收入。此外，該等平價上網太陽能發電場項目的估值及購買價整體亦呈下降趨勢。
董事預期，上述更改未動用所得款項淨額用途將提高集團可用財務資源產生的效率及投資回報率，並符合集團及公司股東的整體利益。截至公告日期，除太陽能發電場協議及太陽能電站(一)協議外，集團並無就任何有關收購事項訂立任何具法律約束力的協議，而倘任何預期進行的收購事項將構成公司的須予公佈交易，集團將全面遵守上市規則項下的適用披露及╱或股東批准規定。有關未動用所得款項淨額最新用途的進一步更新資料亦將於公司即將刊發的中期及年度報告中披露。
董事確認，集團的業務性質並無重大變動，而更改未動用所得款項淨額的用途將不會對集團的業務造成重大不利影響。
