麥捷科技(300319.SZ)擬與王薩蔓等共設興文公司
格隆匯 8 月 19日丨麥捷科技(300319.SZ)公佈，公司於2020年8月18日召開第五屆董事會第五次會議、第五屆監事會第四次會議，分別審議通過了《關於擬設立合資公司暨關聯交易的議案》，同意公司與王薩蔓等九位出資人共同投資設立合資公司宜賓市麥捷興文電子有限公司(“興文公司”或“合資公司”，暫定名，具體以工商登記註冊的名稱為準)，其中關聯董事周新龍對此議案迴避表決。
興文公司註冊資本1000萬元人民幣，股權結構如下：麥捷科技擬認繳出資人民幣750萬元，佔合資公司註冊資本的75%；王薩蔓擬認繳出資人民幣50萬元，佔合資公司註冊資本的5%；李萬鵬擬認繳出資人民幣25萬元，佔合資公司註冊資本的2.5%；歐曉紅擬認繳出資人民幣25萬元，佔合資公司註冊資本的2.5%；盧本浩擬認繳出資人民幣25萬元，佔合資公司註冊資本的2.5%；鄧黃偉擬認繳出資人民幣25萬元，佔合資公司註冊資本的2.5%；王萊擬認繳出資人民幣25萬元，佔合資公司註冊資本的2.5%；陳仁紅擬認繳出資人民幣25萬元，佔合資公司註冊資本的2.5%；王小云擬認繳出資人民幣25萬元，佔合資公司註冊資本的2.5%；熊華傑擬認繳出資人民幣25萬元，佔合資公司註冊資本的2.5%。
宜賓市麥捷興文電子有限公司經營範圍：研發、生產、銷售高頻磁性元器件及其應用產品、相關材料和產品的進出口業務。
近年來，我國通信廠商基礎設施和產品服務不斷更新迭代，伴隨5G時代即將到來，作為支撐產業發展的基礎電子元器件在市場上受需求度持續高漲。成都金之川電子有限公司(“金之川”)作為國內通信廠商高頻磁性元器件的主力供應商，今年以來受疫情影響，面臨着招工困難、產能短缺、交付緊張等嚴峻問題，導致大量外協訂單處於擱置狀態。為確保金之川儘快解決用工需求，降低人力成本，保證訂單交付，公司決定與王薩蔓等九位出資人在四川省宜賓市興文縣合資設立興文公司。興文公司前期主要通過為金之川提供產品的方式進行生產經營，後期將通過自主開發新客户拓展電子元器件產品市場。設立興文公司將有有效幫助公司擴大產能，把握5G發展的戰略機遇；降低勞動力成本，進而提升利潤水平。
