樂亞國際控股(08195.HK)擬4000萬港元收購財商及投資教育課程業務
格隆匯 8 月 17日丨樂亞國際控股(08195.HK)公佈，於2020年8月17日，公司全資附屬Able Glorious Limited擬向賣方林逸男收購目標公司Zone Galaxy Limited全部已發行股本，代價為4000萬港元，已於完成後按發行4000萬港元承兑票據的方式支付。
於2020年8月17日簽署該協議時方同時完成，完成後，目標公司成為公司的間接全資附屬公司，因此，目標集團的財務資料將綜合計入集團賬目。
據悉，目標集團主要透過香港附屬公司營運產生收益。香港附屬公司致力於香港開授優質財商及投資經驗分享講座及相關增值服務。講者具有逾八年的行業經驗以及對香港證券市場有深入瞭解。透過在證券投資行業的經驗豐富的專家及專業人士的龐大網絡，香港附屬公司能夠為客户提供優質講座及相關增值服務，從而提升客户對香港附屬公司的總體滿意度。
董事認為，收購事項為集團擴大其業務的機會，並與集團的未來發展策略一致，且提升集團的長期發展潛力。
香港附屬公司利用嫻熟卓越的市場營銷與銷售策略，透過互聯網以及客户的口碑推薦提高品牌知名度及吸引客户參與講座及會員計劃。得益於有效的營銷策略及品牌知名度的建立，於截至2020年3月31日止財政年度，香港附屬公司自2019年9月開始開設講座及會籍計劃以來，錄得純利約370萬港元及收入約880萬港元。
根據香港附屬公司截至2020年6月30日止三個月的管理賬目，其純利約為340萬港元，約佔保證溢利的56.7%。根據保證利潤計算，香港附屬公司於截至2020年6月30日止三個月的理論純利按照比例估算為150萬港元。實際第一季度利潤比理論第一季度利潤高出約126.7%。因此，董事會認為自2020年1月起，於香港爆發的新冠病毒疫情不會對目標集團的財務狀況造成不良影響，且保證溢利應可以實現。
