鬆井股份(688157.SH)：擬對控股子公司鷗哈希、鬆潤增資
格隆匯 8 月 17日丨鬆井股份(688157.SH)公告，2019年以來，受益於可穿戴設備和智能家居品類的增加、產品技術的成熟、用户體驗的提升、成本的下降，可穿戴設備和智能家居市場快速增長，預計未來將成為消費電子領域增長點。根據公司戰略規劃，公司擬對控股子公司東莞鷗哈希化學塗料有限公司現金增資，金額為800萬港幣。
鷗哈希另外一名持股股東瑞盟國際同意本次增資事項，並不參與本次增資，已出具《瑞盟國際有限公司關於放棄同比例增資東莞鷗哈希化學塗料有限公司的承諾函》。增資後，公司持有鷗哈希的股權由80%提升至90%。
增資後，公司對控股子公司鷗哈希的定位規劃為：協同公司戰略，在手機及配件、PC市場形成協同互補，重點開拓可穿戴、智能家居(小家電與安防)市場，利用差異化技術和產品，樹立細分領域標杆。鷗哈希將依託公司的技術研發優勢和產業鏈上下游整合能力、技術沉澱和終端品牌影響力，進一步擴展產品應用領域和市場覆蓋區域，目標提升公司市場佔有份額和成長價值，為公司在消費電子領域實現“塗料+油墨+膠黏劑”業務整合模式的戰略發展規劃提供助力。
控股子公司鬆潤於2017年8月由公司及其他自然人股東出資設立，專注於乘用汽車塗料的研發與銷售。受益於前期的技術積累及不斷對原材料和工藝方案的優化，鬆潤在乘用汽車(零部件)領域已成功實現技術和市場突破，已供應或進入客户供應體系的核心客户包括：吉利、廣汽、上汽通用五菱、法雷奧等國內外知名整車及乘用汽車零部件生產企業。
受消費者對汽車駕乘舒適度要求提升、汽車外飾件對汽車輕量化解決方案重要性逐步提高、以及日益增加的整車裝配、私家車改裝和售後需求等因素影響，塗料、特種油墨等新型功能塗層材料作為乘用汽車零部件的裝飾或保護材料，主要用於乘用汽車內外飾件領域，具有發展空間。根據公司戰略規劃，公司擬對長沙鬆潤新材料有限公司現金增資，金額為400萬元人民幣。
增資後，控股子公司鬆潤的戰略定位規劃為：專注於汽車零部件塗料，利用差異化技術與產品，打造該領域一線品牌。藉助於公司處於行業先進地位的汽車零部件PVD塗料技術，依託技術積累的優勢、品牌影響力、新產品的研發能力和客户需求的快速反應能力，抓住汽車零部件環保升級發展契機，建立高端水性汽車內外飾件塗料體系，為公司在汽車領域實現“塗料+油墨+膠黏劑”的業務戰略發展規劃夯實基礎。
