新華醫療(600587.SH)：山東能源與兗礦集團簽署了合併協議
格隆匯 8 月 14日丨新華醫療(600587.SH)公佈，公司於2020年7月13日披露了《山東新華醫療器械股份有限公司關於控股股東籌劃戰略重組的提示性公告》，公司間接控股股東山東能源集團有限公司(“山東能源”)與兗礦集團有限公司(“兗礦集團”)正在籌劃戰略重組事宜。
為深化省屬企業戰略性重組，優化國有資本佈局結構，通過主業相近企業強強聯合，進行同類產業整合，實現優化資源配置，推動轉型升級，公司間接控股股東山東能源與兗礦集團擬實施合併重組。
2020年8月14日，公司接到間接控股股東山東能源通知，山東能源股東山東省人民政府國有資產監督管理委員會、山東國惠投資有限公司及山東省社會保障基金理事會批准同意本次合併及相關事項。同日，山東能源與兗礦集團簽署了《山東能源集團有限公司與兗礦集團有限公司之合併協議》。根據該協議，兗礦集團更名為“山東能源集團有限公司”作為存續公司，自此次合併交割日起，合併前山東能源和兗礦集團的資產、負債、業務、人員、合同、資質及其他一切權利與義務由存續公司承繼、承接或享有，合併前山東能源和兗礦集團的下屬分支機構及下屬企業股權或權益歸屬於存續公司。
此次權益變動的信息披露義務人為兗礦集團和山東能源，兗礦集團的主要業務為礦業、煤化工、高端裝備製造和現代物流貿易等；山東能源的主要業務為煤炭、煤電、煤化工、高端裝備製造、新能源新材料、現代物流貿易“六大產業”等。
此次合併完成後，兗礦集團將承接山東能源間接持有的公司28.77%的股份，屆時兗礦集團將通過淄博礦業集團有限責任公司間接持有公司28.77%的股份。
此次合併不涉及公司重大資產重組事項、不涉及要約收購，亦不會對公司的正常生產經營活動構成重大影響，公司直接控股股東未發生變更。目前公司生產經營一切正常，公司將根據本次合併的進展情況按照相關規定及時進行信息披露。
