山東章鼓(002598.SZ)：北京微鯨公司股東CliveHawkeye變更為“昆騰環境”
格隆匯 8 月 14日丨山東章鼓(002598.SZ)公佈，公司於2020年4月26日召開的第四屆董事會第六次會議審議通過了關於《對外投資合資成立北京微鯨公司暨關聯交易》的議案，公司擬與QUANTUMFILTRATIONMEDIUMPTYLTD(以下簡稱“QUANTUM公司”)、濟南毛毛蟲水處理科技合夥企業(有限合夥)(以下簡稱“濟南毛毛蟲”)、合肥浩凌君玉企業管理合夥企業(有限合夥)(以下簡稱“合肥浩凌君玉”)及自然人CliveHawkeye共同在北京市大興區設立北京微鯨水科技環境有限公司(暫定名，以最終工商行政管理機關核准的名稱為準，以下簡稱“北京微鯨”)。其中，山東章鼓以現金方式出資400萬元人民幣，佔設立後北京微鯨40.00%的股權；濟南毛毛蟲以現金方式出資200萬元人民幣，佔設立後北京微鯨20.00%的股權；QUANTUM公司以現金，實物或其他方式出資150萬元人民幣，佔設立後北京微鯨15.00%的股權；合肥浩凌君玉以現金，實物或其他方式出資200萬元人民幣人民幣，佔設立後北京微鯨20.00%的股權；自然人CliveHawkeye以現金，實物或其他方式出資50萬元人民幣，佔設立後北京微鯨5.00%的股權。
因CliveHawkeye涉及海外獨立的身份認證，目前受新冠疫情的影響，跨境航班和境外政府辦理部門還在封閉狀態，且辦理週期較長,CliveHawkeye個人預計在短期內很難完成北京微鯨設立所需個人信息認證，為提高工作效率，結合公司目前發展的實際情況，公司董事會及管理層從謹慎性及時間性的角度考慮，決定將與CliveHawkeye的合作，變更為與昆騰環境發展(北京)有限公司(以下簡稱“昆騰環境”)合作。本次變更後，山東章鼓以現金方式出資400萬元人民幣，佔設立後北京微鯨40.00%的股權；濟南毛毛蟲以現金方式出資200萬元人民幣，佔設立後北京微鯨20.00%的股權；QUANTUM公司以現金，實物或其他方式出資150萬元人民幣，佔設立後北京微鯨15.00%的股權；合肥浩凌君玉以現金，實物或其他方式出資200萬元人民幣人民幣，佔設立後北京微鯨20.00%的股權；昆騰環境以現金，實物或其他方式出資50萬元人民幣，佔設立後北京微鯨5.00%的股權。
本次對外投資事項除股東CliveHawkeye變更為“昆騰環境”外，其餘均未發生變化。
