三夫户外(002780.SZ)：擬變更募投項目用於收購X-BIONIC標的IP及向上海悉樂增資等
格隆匯 8 月 14日丨三夫户外(002780.SZ)公佈，公司於2020年8月14日召開公司第三屆董事會第二十四次會議，審議通過了《關於現金購買X-BIONICAG公司及X-Technology Swiss GmbH公司相關無形資產的議案》、《關於現金增資上海悉樂文化發展有限公司的議案》、《關於變更募投項目並將剩餘募集資金用於永久補充流動資金的議案》。公司在綜合考慮未來發展戰略、市場環境等因素下，為提高募集資金使用效率，維護股東利益，擬將募投項目“三夫户外活動賽事、營地+培訓、零售+體驗綜合運營中心建設項目”及“總部辦公及研發中心建設項目”進行變更，並將剩餘募集資金永久補充流動資金。
公司在積極尋找營地建設資源時，發現營地建設對土地性質要求較高，整體投資金額大，建設週期長，盈利回收期比項目預計規劃時間長，因此該項目沒有按照原計劃進行，而轉為用自有資金及變更IPO募集資金投向商業模式成熟人氣較旺的上海悉樂文化發展有限公司(“上海悉樂”)“松鼠部落”親子户外樂園項目。
原項目計劃在深圳、杭州、廣州、長沙4個城市陸續建設4個面積達到1000㎡的旗艦店，因近年消費客流明顯向核心商業區和大型購物中心聚集，而這些地方的租金費用非常高，原來的一般區位的獨立街邊店客流明顯下降，客流消費不能支撐這麼大面積的旗艦店經營，考慮到這些實際市場因素變化，公司沒有實施上述建設項目。
因政策變化，公司在購買總部辦公大樓時使用了自有資金，未使用募集資金；原項目中的研發中心計劃以房屋租賃形式進行建設，但根據自有品牌實際銷售情況和產品線規模，公司在總部辦公樓建設了小規模的研發中心，人員和設備可以滿足研發中心日常辦公、基礎研發、設計打樣和產品測試需求，暫不需要單獨大規模投資建設研發中心。
綜上，為了加強公司的核心競爭力，提高公司盈利水平，提升資金使用效率，構建更為穩固的產品發展戰略，本着維護全體股東利益的原則，經審慎研究論證，公司決定將募投項目變更為“現金購買X-BIONICAG公司及X-Technology Swiss GmbH公司高科技運動產品品牌、專利和相關無形資產項目”及“現金增資上海悉樂文化發展有限公司項目”，並將剩餘募集資金永久補充公司流動資金。
X-BIONIC和X-SOCKS品牌有深厚的技術底藴，其功能產品適合在跑步、健身、馬拉鬆、越野跑、滑雪等運動中使用，這些運動在中國正蓬勃發展，參與人羣眾多，市場空間巨大。此次交易使公司擁有了國際知名科技運動品牌X-BIONIC和X-SOCKS在中國的商標權和專利權，使得公司有機會通過在研發、設計、品牌營銷、渠道建設方面的投入和運營，在相對較短時間內構建一個公司擁有和掌控的高端、科技、時尚運動户外品牌，從而優化提升公司的商業模式和業務結構，對公司的總體發展和財務表現有積極重要的意義。
