南京高科(600064.SH)：同意高科皓熙繼續提升開展二級市場股票投資的額度
格隆匯 8 月 12日丨南京高科(600064.SH)公佈，公司第十屆董事會第三次會議決議，審議並通過了《關於調整南京高科皓熙定增私募證券投資基金二級市場股票投資額度的議案》。
經2016年9月1日公司第八屆董事會第三十六次會議審議通過，公司以自有資金9.88億元參與認購了皓熙股權投資管理(上海)有限公司(“皓熙投資”)發起設立的南京高科皓熙定增私募證券投資基金(“高科皓熙”)。該基金為契約型基金，成立時間2016年9月12日，存續期5年，基金髮行規模為10億元，基金管理人為皓熙投資，基金投資範圍主要包括A股股票定向增發、二級市場股票投資等。
高科皓熙成立後，受階段性的定增相關政策調整和資本市場整體下跌的影響，運營過程中一度出現一定的浮虧。為抓住今年二級市場有利時機，加強操作的主動性和靈活性，經2020年1月6日和2020年3月4日公司第九屆董事會第二十一次會議、第九屆董事會第二十二次會議分別審議通過，高科皓熙二級市場股票投資額度逐步調整為不超過基金總資產的40%，上限不超過人民幣4億元(該額度範圍內可滾動使用)。投資額度調整後，高科皓熙抓住二級市場的結構性上漲機會，通過調整投資標的、加強主動管理等措施，獲得了較好的投資效果。截至8月11日，高科皓熙單位淨值為1.091元(未經審計)，年內漲幅為61.63%，取得了高於市場主要指數的收益水平。
基於近期宏觀經濟環境政策的變化以及高科皓熙的運作情況，為及時把握二級市場發展機遇，進一步增強操作的主動性和靈活性，精選新的優質投資標的，提高高科皓熙整體盈利能力，同意高科皓熙繼續提升開展二級市場股票投資的額度，由不超過基金總資產的40%調整為不超過基金總資產的60%，上限不超過人民幣6億元(該額度範圍內可滾動使用)；此外，以已兑現的二級市場投資收益進行滾動投資時，不受前述基金總資產的60%和6億元額度的限制。
董事會要求公司督促高科皓熙基金管理人認真研判宏觀環境及市場形勢，科學選擇投資標的，加強對持倉標的分析與主動管理，嚴格執行內部風險控制制度，進一步加強風險管控，為投資人實現更好的回報。
