三花智控(002050.SZ)：擬吸收合併全資子公司三花自控
格隆匯 8 月 12日丨三花智控(002050.SZ)公佈，2020年8月11日召開的第六屆董事會第十一次會議審議通過了《關於公司吸收合併全資子公司的議案》，根據《深圳證券交易所創業板股票上市規則》、《公司章程》等相關規定，本次事項尚需提交公司股東大會審議。本事項不涉及關聯交易，也不構成《上市公司重大資產重組管理辦法》規定的重大資產重組。
被合併方基本情況介紹：
1、公司名稱：浙江三花自控元器件有限公司
2、註冊資本：3200萬元人民幣
3、統一社會信用代碼：91330624793350923D
4、成立日期：2006-08-18
5、法定代表人：張亞波
6、地址：新昌縣七星街道下禮泉
7、主要經營範圍：生產銷售：燃氣閥、控制閥、製冷控制元器件、製冷配件；貨物進出口、技術進出口。
8、主要財務數據：截止2020年6月30日，總資產3816.27萬元，淨資產3600.12萬元，營業收入959.49萬元，淨利潤-14.54萬元。(未經審計)
本次吸收合併的具體安排：
1、公司通過整體吸收合併的方式合併三花自控的全部資產、負債、權益等，合併完成後公司存續經營，三花自控的獨立法人資格將被註銷。
2、本次吸收合併完成後，公司的經營範圍、註冊資本保持不變，公司名稱、股權結構及董事會、監事會、高級管理人員並不因本次吸收合併而改變。
3、公司股東大會審議通過後，授權公司管理層根據相關規定確定合併基準日，合併基準日至合併完成日期間所產生的損益由公司承擔。
4、合併雙方將根據法律法規等要求，簽訂吸收合併協議，共同完成資產轉移、權屬變更、工商登記等相關程序和手續。
5、公司董事會提請股東大會授權公司管理層全權辦理本次吸收合併具體事項。
公司本次吸收合併三花自控，有利於公司管理架構的進一步優化，降低管理成本，提高運營效率，符合公司發展戰略。三花自控為公司的全資子公司，其財務報表已納入公司的合併報表範圍，本次吸收合併不會對公司財務狀況產生實質影響，不會影響公司業務發展和持續盈利能力，符合公司及全體股東的利益。
