利欧股份(002131.SZ)及子公司与众挺智能将就IGBT芯片及模组生产项目以合资公司形式开展合作
格隆汇 8 月 11日丨利欧股份(002131.SZ)公布，公司及全资子公司福建平潭元初投资有限公司(“平潭元初”)与上海众挺智能科技有限公司(“众挺智能”)签署了《合资协议书》，各方将就IGBT芯片及模组生产项目以合资公司的形式开展合作。具体方式如下：
合资公司将从境外引进行业资深人士，组成核心研发、技术及管理团队。由于境外人士设立持股平台需要较长的时间周期，约定先由平潭元初设立有限合伙企业作为持股平台(“持股平台”)，未来业务团队成员以入伙的方式进入持股平台并通过有限合伙企业间接持有合资公司股权。
平潭元初与持股平台合计以货币形式出资200万元人民币投资设立合资公司，合计持有合资公司100%股权，其中平潭元初持股0.01%，持股平台持股99.99%。
持股平台出资完成后，利欧股份、众挺智能分别以货币形式向合资公司增资，其中，利欧股份出资人民币5100万元，众挺智能出资人民币2900万元。增资完成后，利欧股份持股占合资公司注册资本的51%；众挺智能持股占合资公司注册资本的29%；平潭元初与持股平台合计持股占合资公司注册资本的20%。
合资公司名称：上海狮门微电子有限公司(以工商登记名称为准)，经营范围：功率半导体的设计、测试、封装、生产及销售，半导体芯片、集成电路、新型电子元器件及其相关附件的设计、生产和销售；碳化硅和氮化镓晶体材料的研发、生产及销售；软件的开发、销售及服务，经营进出口业务(以工商登记为准)。
该项目产品包括DISCRETE、IPM、PIM等封装的工业级、车规级IGBT及使用碳化硅及氮化镓材料的IGBT(最前沿的IGBT半导体材料技术)，还可根据客户需求定制各类工业级及车规级IGBT，重点应用于高端制造、新能源(风电、光伏发电)、轨道交通、新能源汽车、国防军工等领域。
该项目一期工程计划投资3条生产线，预计投资额为4.5亿元人民币。第一条生产线预计在合资公司设备到厂后6个月实现量产。
IGBT广泛应用于高端制造、新能源(风电、光伏发电)、轨道交通、新能源汽车、国防军工等领域。电机是公司民用泵、工业泵产品的核心部件，智能控制设备(变频器)在电机产品中广泛使用。IGBT作为能源转换与传输的核心器件,是智能控制设备的核心器件，显著提高用电效率和质量，具有高效节能和绿色环保的特点。另外，通过投资理想汽车，公司充分了解到IGBT在电动车领域应用的重要性，IGBT的好坏直接影响电动车功率的释放速度。
基于上述的理解和认知，公司决定投资IGBT项目。当前的IGBT市场主要被欧、美、日等国垄断，国内的IGBT严重依赖进口。近年来，电子元器件的国产化成为一种趋势，IGBT这样的核心器件更是国家大力发展的重点产业之一。IGBT产品技术含量高，公司投资IGBT项目，通过内生培育，可以实现产业链向上延伸，提高高科技产品的销售占比，为公司在高端制造领域培育新的利润增长点；公司在目前时点投资IGBT项目，使公司在半导体产业及早实现布局和卡位，有利于确立公司在该行业的先发优势；公司致力于生产、销售高端的IGBT产品，实现对国外高端进口产品的国产化替代。
