利歐股份(002131.SZ)及子公司與眾挺智能將就IGBT芯片及模組生產項目以合資公司形式開展合作
格隆匯 8 月 11日丨利歐股份(002131.SZ)公佈，公司及全資子公司福建平潭元初投資有限公司(“平潭元初”)與上海眾挺智能科技有限公司(“眾挺智能”)簽署了《合資協議書》，各方將就IGBT芯片及模組生產項目以合資公司的形式開展合作。具體方式如下：
合資公司將從境外引進行業資深人士，組成核心研發、技術及管理團隊。由於境外人士設立持股平台需要較長的時間週期，約定先由平潭元初設立有限合夥企業作為持股平台(“持股平台”)，未來業務團隊成員以入夥的方式進入持股平台並通過有限合夥企業間接持有合資公司股權。
平潭元初與持股平台合計以貨幣形式出資200萬元人民幣投資設立合資公司，合計持有合資公司100%股權，其中平潭元初持股0.01%，持股平台持股99.99%。
持股平台出資完成後，利歐股份、眾挺智能分別以貨幣形式向合資公司增資，其中，利歐股份出資人民幣5100萬元，眾挺智能出資人民幣2900萬元。增資完成後，利歐股份持股佔合資公司註冊資本的51%；眾挺智能持股佔合資公司註冊資本的29%；平潭元初與持股平台合計持股佔合資公司註冊資本的20%。
合資公司名稱：上海獅門微電子有限公司(以工商登記名稱為準)，經營範圍：功率半導體的設計、測試、封裝、生產及銷售，半導體芯片、集成電路、新型電子元器件及其相關附件的設計、生產和銷售；碳化硅和氮化鎵晶體材料的研發、生產及銷售；軟件的開發、銷售及服務，經營進出口業務(以工商登記為準)。
該項目產品包括DISCRETE、IPM、PIM等封裝的工業級、車規級IGBT及使用碳化硅及氮化鎵材料的IGBT(最前沿的IGBT半導體材料技術)，還可根據客户需求定製各類工業級及車規級IGBT，重點應用於高端製造、新能源(風電、光伏發電)、軌道交通、新能源汽車、國防軍工等領域。
該項目一期工程計劃投資3條生產線，預計投資額為4.5億元人民幣。第一條生產線預計在合資公司設備到廠後6個月實現量產。
IGBT廣泛應用於高端製造、新能源(風電、光伏發電)、軌道交通、新能源汽車、國防軍工等領域。電機是公司民用泵、工業泵產品的核心部件，智能控制設備(變頻器)在電機產品中廣泛使用。IGBT作為能源轉換與傳輸的核心器件,是智能控制設備的核心器件，顯著提高用電效率和質量，具有高效節能和綠色環保的特點。另外，通過投資理想汽車，公司充分了解到IGBT在電動車領域應用的重要性，IGBT的好壞直接影響電動車功率的釋放速度。
基於上述的理解和認知，公司決定投資IGBT項目。當前的IGBT市場主要被歐、美、日等國壟斷，國內的IGBT嚴重依賴進口。近年來，電子元器件的國產化成為一種趨勢，IGBT這樣的核心器件更是國家大力發展的重點產業之一。IGBT產品技術含量高，公司投資IGBT項目，通過內生培育，可以實現產業鏈向上延伸，提高高科技產品的銷售佔比，為公司在高端製造領域培育新的利潤增長點；公司在目前時點投資IGBT項目，使公司在半導體產業及早實現佈局和卡位，有利於確立公司在該行業的先發優勢；公司致力於生產、銷售高端的IGBT產品，實現對國外高端進口產品的國產化替代。
