3天漲逾20%！中信建投：不存在應披露而未披露的重大信息

8月10日晚間，中信建投證券股份有限公司（601066，以下簡稱“中信建投”）發佈股票交易異常波動公告，稱經本公司自查並書面詢證公司第一大股東北京國有資本經營管理中心（以下簡稱“北京國管中心”）及第二大股東中央匯金投資有限責任公司（以下簡稱“中央匯金”），截至本公告披露日，不存在應披露而未披露的重大信息。
同時，公告提醒投資者，公司股票近日漲幅較大，需注意二級市場交易風險。
8月6日下午，有市場傳言稱，當天將發佈中信建投與中信證券合併的消息。受傳言刺激，8月6日尾盤，中信建投股價一度衝擊漲停，最終收漲9.24%。
8月7日與8月10日，中信建投再漲3.64%和8.41%，連續3個交易日內日收盤價格漲幅偏離值達到20%。
中信建投公告表示，本公司A股股票於2020年8月6日漲9.24%、8月7日漲3.64%、8月10日漲8.41%，漲幅較大。2020年8月10日，本公司A股股票收盤價59.27元/股，市盈率58.47倍，高於所屬證券行業46.93倍的平均市盈率；市淨率9.68倍，高於所屬證券行業2.57倍的平均市淨率。敬請投資者注意投資風險。
同時，針對股價異常波動，中信建投表示，公司向第一大股東北京國管中心及第二大股東中央匯金書面詢證核實，截至本公告披露日，二者均不存在正在籌劃涉及本公司的重大資產重組、股份發行、收購、債務重組、業務重組、資產剝離、資產注入、股份回購、股權激勵、破產重整、重大業務合作、引進戰略投資者等應披露而未披露的重大事項。
值得一提的是，中信建投股票交易異常波動公告同時指出，2020年8月6日下午，本公司注意到有市場傳聞，涉及本公司主要負責人職務變動以及本公司與其他證券公司合併。經核實，本公司在傳聞當天予以澄清：前述傳聞均為不實傳聞，本公司目前不存在應披露而未披露的信息。
8月6日下午，有市場傳言稱，中信建投董事長王常青將調任中信集團副總經理。同時，當天將發佈合併消息。
8月6日晚間，中信建投再度澄清合併傳言。值得關注的是，中信建投同時強調，鑑於不實傳聞可能誤導投資者，影響正常市場秩序，本公司對不實傳聞的製造者予以強烈譴責，並且保留追究其法律責任的權利。
今年以來，中信證券和中信建投這兩家國內頭部券商，屢屢傳出合併傳聞，本次已是近四個月內出現的第五次。
需要指出的是，這兩大券商本身淵源極深。中信建投成立於2005年，彼時老牌券商華夏證券被證監會撤銷業務許可，中信證券與建銀投資共同出資成立中信建投，受讓華夏證券原有的全部證券業務及相關資產。2008年，證監會提出了券商“一參一控”的監管要求，即一家股東只能參股一家券商、控股一家券商，不可以同時控股兩家券商。這一監管紅線使得中信證券和中信建投這對曾經的“親兄弟”開始進行切割，兩家券商逐漸成為競爭對手。
同時，中信證券目前仍然是中信建投的主要股東之一。根據中信建投2020年一季報，中信證券仍持有中信建投5.01%股份。此外，中信證券第二大股東中國中信有限公司的全資孫公司鏡湖控股有限公司也持有中信建投4.60%的股份。這可能也是兩家頻頻被傳合併的原因之一。
