中來股份(300393.SZ)：公司控股股東擬變更為杭鍋股份
格隆匯 8 月 10日丨中來股份(300393.SZ)公佈，公司於2020年8月9日收到公司控股股東、實際控制人林建偉、張育政的通知：林建偉、張育政於2020年8月9日與杭州鍋爐集團股份有限公司(“杭鍋股份”)簽署了《蘇州中來光伏新材股份有限公司控制權轉讓框架協議》，並於同日簽署了《股份轉讓協議》、《表決權委託協議》。
公司控股股東、實際控制人林建偉、張育政向杭鍋股份轉讓其持有的公司無限售流通股合計7458.4916萬股，佔公司總股本的9.5830%，佔公司扣除回購專用證券賬户16.2623萬股後總股本的9.5850%，轉讓價格為不低於本協議簽署日前一個交易日收盤價的90%，經雙方協商，確定為人民幣9.9元/股，股份轉讓款合計約人民幣7.38億元。
同時，公司控股股東、實際控制人林建偉、張育政與杭鍋股份簽署了《表決權委託協議》，雙方約定在第一次股份轉讓完成過户登記之日起林建偉、張育政將所持有的中來股份合計148,546,624股股份(佔公司總股本的19.0859%，佔公司扣除回購專用證券賬户16.2623萬股後總股本的19.0899%)的表決權及提名、提案權不可撤銷地全權委託給杭鍋股份行使，其中林建偉將其持有的112,844,599股(佔公司總股本的14.4988%，佔公司扣除回購專用證券賬户16.2623萬股後總股本的14.5018%)股份對應的表決權委託給杭鍋股份，張育政將其持有的3570.2025萬股(佔公司總股本的4.5871%，佔公司扣除回購專用證券賬户16.2623萬股後總股本的4.5881%)股份對應的表決權委託給杭鍋股份。林建偉委託的3501.4073萬股股份和張育政委託的3570.2025萬股股份，合計7071.6098萬股股份的表決權委託期限自《表決權委託協議》生效之日起至第二次股份轉讓過户至杭鍋股份證券賬户之日為止，其餘7783.0526萬股股份的委託期限自《表決權委託協議》生效之日起至杭鍋股份所持中來股份的股份數量超過林建偉、張育政及其一致行動人合計持有的股份數且能夠維持中來股份控股股東地位之日止。
該股份轉讓及表決權委託後，杭鍋股份持有公司223,131,540股(佔公司總股本的28.6689%，佔公司扣除回購專用證券賬户股數後總股本的28.6749%)的表決權。公司控股股東將由林建偉、張育政變更為杭州鍋爐集團股份有限公司，實際控制人將變更為王水福、陳夏鑫及謝水琴。
另外，根據約定，張育政後續將不再擔任公司董事、高管職務，自張育政離職滿6個月後的3個交易日內，雙方簽署第二次協議轉讓的《股權轉讓協議》，林建偉、張育政向杭鍋股份轉讓其持有的公司無限售流通股合計7071.6098萬股，佔公司總股本的9.0859%，佔公司扣除回購專用證券賬户16.2623萬股後總股本的9.0878%。
