電訊盈科(00008.HK)獲溢價15.81%現金要約收購約1.55億股
格隆匯 8 月 7日丨電訊盈科(00008.HK)發佈公告，渣打銀行(代表收購人)將向合資格股東提出有條件自願現金部分要約，按每股股份5.20港元的要約價收購約1.55億股要約股份(相當於該公告日期已發行股份約2.00%，或合資格股東於該公告日期持有的已發行股份約2.82%)。
收購人已根據收購守則規則28.1申請同意作出部分要約，而執行人員已授予同意。公司計劃在部分要約截止後維持其在聯交所的上市地位。收購人Trade Champion Limited為一家於開曼羣島註冊成立的有限公司，收購人的唯一董事為馮慧玲。收購人的全部已發行股本由主事人李澤楷間接持有，主事人為公司執行董事兼主席。
收購人在部分要約下應付的總現金代價將約為8.04億港元。收購人計劃透過內部現金資源籌集部分要約所需的現金。收購人的財務顧問渣打銀行信納收購人可獲得充足的財務資源以清償根據部分要約應付的總現金代價。要約價每要約股份5.20港元相當於股份最後交易日收市價4.49港元溢價約15.81%。
於該公告日期，公司的公眾持股量佔已發行股份約52.49%。假設部分要約完成，於緊隨部分要約完成後公司的公眾持股量將佔已發行股份約50.49%(假設於該公告日期後已發行股份總數並無變動)，因此，由公眾人士持有的股份數目將會繼續符合上市規則第8.08條規定的25%最低公眾持股量要求。
公告表示，部分要約的主要理由是為公司管理資本結構時提供更大靈活性。鑑於主事人現時的持有量，公司尋求在不會觸發主事人可能須根據收購守則作出強制全面要約的情況下於適當時機進行股份回購時受到限制。假設部分要約完成，公司將可獲得額外的靈活性(符合收購守則的自由增購率規定)。
此外，謹此提述公司於2020年8月6日作出的公告，在該等公告中，公司(i)宣佈建議將電訊盈科媒體有限公司轉讓予香港電訊集團，以及對PCCW International OTT (Cayman Islands) Holdings Limited的策略檢討；及(ii)宣派實物股息，及將會因此而導致公司於盈大地產(00432.HK)的權益減少。收購人擬繼續集團於一般業務過程中的現有業務、人手及資產部署，並認為集團應繼續檢討其策略及重心，務求儘可能迎合集團的營運環境。
