中國秦發(00866.HK)擬3.85億印尼盾收購SDE 70%股權
格隆匯8月7日丨中國秦發(00866.HK)發佈公告，2020年8月6日，公司的全資附屬公司PT Qinfa Mining訂立有條件買賣協議，內容關於建議收購SDE 70%股權，總代價為3.85億印尼盾。建議收購事項完成後，SDE將成為公司的非全資附屬公司。由於交易架構改變，PT Qinfa Mining建議直接收購SDE股權，而非如此前公佈所披露的新採礦公司B。
於該公佈日期，SDE分別由Kokos Jiang及Heri Irawan擁有約99.82%及0.18%的權益。根據有條件買賣協議，PT Qinfa Mining同意收購SDE70%股權。SDE為採礦經營許可證B的持有人。
集團主要從事煤炭開採、煤炭購銷、選煤、存儲、配煤及航運運輸。PT Qinfa Mining為一間於印尼成立的有限公司，併為公司的間接全資附屬公司。PT Qinfa Mining的業務範圍包括煤炭買賣。
SDE為一間於印尼正式註冊及成立的有限公司，主要從事煤炭買賣業務。SDE為一個位於印尼南加裏曼丹省哥打巴魯縣Sungai Durian的煤礦的採礦經營許可證B，面積約為184.92平方公里。煤礦所處地區亦擁有豐富的煤炭資源，該煤炭資源由一間印尼上市公司擁有。儘管SDE已對煤礦進行若干鑽採活動，有關結果尚未獲獨立第三方核實。集團已對現有勘探結果進行若干核證。董事認為，在進一步招致煤礦勘探成本的前根據有條件買賣協議收購SDE股權將保障集團利益。
公告表示，建議收購事項讓PT Qinfa Mining有機會以相當低成本獲得採礦經營許可證B，原因是相關煤礦位置偏遠且未開發。SDE的煤礦有潛力被開發為龐大產量的先進地下煤礦。公司自2019年起一直積極在印尼尋找潛在投資商機。建議收購事項將使公司能夠出口成熟的勘探技術並將的擴展至海外市場。倘建議收購事項被證實為成功，公司的採礦專業知識與印尼的天然資源應發揮協同效益以支持集團日後的發展。
