阿里健康(00241.HK)擬配售約4.99億股新股份 融資約100億港元
格隆匯 8 月 5日丨阿里健康(00241.HK)發佈公告，2020年8月5日(交易時段前)，公司與配售代理(花旗環球金融有限公司及瑞士信貸(香港)有限公司)就配售事項訂立配售協議，根據配售協議所載的條款及條件，按每股配售股份20.05港元的配售價配售合共約4.99億股新股份。
配售股份相當於公司現有已發行股本總額約3.85%，及經擴大已發行股本總額約3.71%。假設全部配售股份根據配售事項發行，預計配售事項籌集所得款項總額將約為100億港元，而預計配售事項產生的所得款項淨額合共約為99.642億港元，相當於每股配售股份的淨髮行價約為19.98港元。配售股份將根據一般授權配發及發行，公司將向聯交所上市委員會申請批准配售股份於聯交所上市及買賣。
公告表示，在新冠疫情期間互聯網診療起到了巨大的積極社會效應。近期，政府又出台了一系列互聯網醫療推動政策，行業進入快速發展的全新賽道。作為阿里巴巴集團旗下的大健康領域旗艦平台，集團將繼續充分發揮在醫藥電商領域藥品銷售並觸達億萬患者的服務能力，同時積極佈局及利用當下戰略發展機遇，全力投入資源加強互聯網醫療相關的服務能力和技術實力，包括但不限於：積極運用互聯網技術打造全鏈路、全渠道的醫藥健康產品供應和服務體系；開拓更便捷有效的互聯網醫療服務場景，不斷優化醫療服務供給；及利用數字技術和物聯網技術助力政府和行業合作伙伴進行醫療服務的資訊化升級改造，提升醫療行業效率。
基於對行業前景的洞悉和看好，以及集團進一步深耕大健康、進入快速發展通道的需要，集團決定進行配售事項。配售事項是為集團在籌集資金的同時擴大股東及資本基礎的機會。董事認為，在目前市況下進行配售事項符合集團及其股東的整體利益，將為集團大力發展互聯網醫療、搶佔戰略機遇期起到積極的助推作用。
集團於2020年3月31日的現金及現金等價物約為人民幣25.95億元。集團於截至2018年3月31日止、截至2019年3月31日止及截至2020年3月31日止的年度的收入分別為人民幣24.43億元、人民幣50.96億元及人民幣95.96億元。配售事項的所得款項淨額將為集團業務快速增長、逐鹿互聯網醫療新賽道進一步提供靈活性。
鑑於集團發展其業務的計劃，預期約80%至90%的所得款項淨額將用於進一步發展集團的醫藥健康產品全渠道業務及醫療健康服務業務，包括但不限於擴充集團的醫藥及醫療服務網絡、豐富會員服務及用户為本的內容；及約10%至20%的所得款項淨額將用於進一步發展集團的數字基建及創新業務，包括但不限於擴充向醫療健康行業參與者所提供的互聯網和技術解決方案的種類。經考慮市場的發展及機遇後，所得款項淨額將會在適當時候用於推動落實上述計劃，務求使集團的增長機會以及集團於其經營所在的行業中的協同效益得以最大化。
