增強新能源投入 北京汽車(01958.HK)擬不超3.44億元認購北汽藍谷(600733.SH)股份
格隆匯8月3日丨北京汽車(01958.HK)公佈，於2020年8月3日，公司全資附屬公司北汽廣州與公司控股股東北汽集團下屬A股上市公司北汽藍谷(600733.SH)訂立一份股份認購協議，據此，北汽廣州同意以按照北汽藍谷本次A股發行的定價基準確定的認購價格，及不超過人民幣3.44億元的認購金額上限認購不低於北汽藍谷本次實際發行總股數6.25%的新A股。
同日，北汽集團及其下屬渤海汽車亦與北汽藍谷簽署相關股份認購協議，分別以與北汽廣州相同的認購價格及認購條件，以及分別不超過人民幣16.27億元及人民幣1.66億元的認購金額上限認購不低於北汽藍谷本次實際發行總股數分別29.57%及3.01%的新A股。
本次認購如獲完成，北汽廣州於北汽藍谷的持股比例最低將仍維持6.25%，最高將不超過7.32%。
北汽藍谷為公司控股股東北汽集團之附屬公司，其A股於上交所上市。北汽藍谷主要業務包括：研發、設計、銷售汽車、汽車配件、機械設備、電器設備、零部件加工設備；汽車裝飾；技術開發、技術服務、技術諮詢、技術轉讓；設計、製作、代理、發佈廣告；經濟貿易諮詢；物業管理；貨物進出口、技術進出口、代理進出口。
公司稱，新能源汽車的長期發展趨勢較為明朗，行業發展處於戰略機遇期，而積極參與新能源產業佈局已成為現階段汽車企業的戰略共識與投資方向。北汽藍谷下屬全資子公司北京新能源汽車股份有限公司是國內首個獲得新能源汽車生產資質的企業，經過多年發展，已在純電動乘用車領域擁有相對較強的競爭實力。公司在擁有北汽藍谷6.25%股權的同時，也與其在產品研發、生產、營銷等方面存在戰略合作關係。通過參與北汽藍谷本次A股發行，公司可以以合理的成本實現對北汽藍谷持股的反攤薄，也增強了在新能源業務領域的戰略投入。
北汽藍谷本次A股發行的募集資金擬投入ARCFOX品牌高端車型開發及網絡建設、換電業務系統開發、5G智能網聯繫統提升等項目建設以及補充流動資金。相關投資項目符合產業政策以及國家戰略導向，投資項目的實施以及流動資金的增加也能夠提升北汽藍谷的業務及產品競爭力，符合投資人利益。
