偉明環保(603568.SH)：下屬子公司簽署寧都縣生活垃圾焚燒發電項目特許經營協議
格隆匯 8 月 3日丨偉明環保(603568.SH)公佈，2020年8月3日，公司下屬子公司寧都公司與寧都縣城市管理局、寧都縣城市建設投資集團有限公司就投資建設寧都項目簽署《寧都縣生活垃圾焚燒發電項目特許經營協議》。
寧都縣生活垃圾焚燒發電項目，規劃總規模為日處理生活垃圾1,200噸，分兩期實施：一期工程規模800t/d、二期工程再增加400t/d。本期建設一期工程，預留二期工程。該項目採用機械爐排爐焚燒工藝。項目估算總投資約4.16億元。該項目特許經營期為30年，含建設期18個月。項目緊鄰寧都縣垃圾填埋場，項目用地約116畝，以出讓方式取得項目用地。公司以自有資金不超過1.5億元投資於該項目。
公司已在寧都縣新設控股子公司作為項目公司。項目公司已取得寧都縣市場監督管理局頒發的《企業法人營業執照》，名稱：寧都縣偉明城投新能源有限公司，經營範圍：許可項目為發電、輸電、供電業務，城市生活垃圾經營性服務；一般項目為污水處理及其再生利用，水污染治理，環保諮詢服務，建築廢棄物再生技術研發，農林廢物資源化無害化利用技術研發，環境保護專用設備製造，污泥處理裝備製造，生活垃圾處理裝備製造，生活垃圾處理裝備銷售。
特許經營權範圍：甲方授予乙方在合作期內獨家、排他性的投融資、設計、建設、運營、維護、管理該項目的權利，並按照協議規定使用土地。乙方根據協議及其附件的規定，向甲方提供垃圾無害化處理服務，並向甲方收取垃圾處理補貼費；同時向電力公司銷售垃圾焚燒餘熱發電富餘的電量並收取電費等。特許經營權專屬於乙方所有。乙方依法設立項目公司，項目公司簽署協議後，承繼乙方在協議中的所有權利和義務，處理一切事務，乙方對項目公司的行為承擔連帶法律責任。(甲方，寧都縣城市管理局；法定代表人，黃連生；法定地址，寧都縣商貿城五樓。乙方，寧都縣城市建設投資集團有限公司；法定代表人，陳訓明；法定地址，江西省贛州市寧都縣梅江鎮登峯大道西側。項目公司，寧都縣偉明城投新能源有限公司；法定代表人，程五良；法定地址，江西省贛州市寧都縣梅江鎮龍湖路翠微春苑小區。)
此次對外投資、簽署特許協議有助於增加公司固廢處理業務規模，拓展江西省固廢處理市場，提升公司未來營業收入和利潤。該項目的實施，不影響公司業務的獨立性，公司主營業務不會因該項目的實施而產生關聯交易、同業競爭以及業務依賴的情形。該項目實施對公司2020年度經營業績不會產生重大影響，但對公司未來業務發展及經營業績提升產生積極影響。
