新濠國際發展(00200.HK)：SCIHL擬進行私人配售1.21億股A類股份
格隆匯 8 月 3日丨新濠國際發展(00200.HK)發佈公告，有關SCIHL向其若干現有機構股東及美國預託股份持有人進行的一系列私人配售證券要約的交易。 2020年7月31日，MCO Cotai與SCIHL訂立認購協議，據此，SCIHL同意向MCO Cotai發行而MCO Cotai同意向SCIHL購買約7218.55萬股A類股份，價格為每股A類股份3.89美元(相當於約30.15港元)而總認購價約為2.81億美元(相當於約21.76億港元)。
緊接私人配售前，MCO Cotai持有的A類股份佔SCIHL已發行股本約54.1%，並預期於私人配售完成時持有SCIHL已發行股本約54.7%。
此外，New Cotai及New Cotai的其中一名聯屬人士與SCIHL訂立認購協議，據此，New Cotai 及其聯屬人士同意向SCIHL購買合共約4911.92萬股A類股份(包括美國預託股份下的相關A類股份)，價格為每股A類股份3.89美元(相當於約30.15港元)而總認購價約為1.91億美元(相當於約14.81億港元)。
根據SCIHL存置的持股記錄(及其所獲悉的資料)及緊接私人配售前，New Cotai及其聯屬人士在SCIHL已發行股本中擁有合共約36.82%的權益，並預期於私人配售完成時在SCIHL已發行股本中擁有約37.22%的權益。
根據披露，SCIHL為於開曼羣島註冊成立的有限公司，是新濠博亞娛樂的上市附屬公司，其美國預託股份在美國紐約證券交易所上市。SCIHL在澳門路氹擁有並經營一個世界級綜合度假村。MCO Cotai為投資控股公司，持有於SCIHL的投資，併為新濠博亞娛樂的間接全資附屬公司。New Cotai為於特拉華州組建的私人有限公司，由若干投資基金間接擁有。
公告表示，於私人配售完成後，SCIHL將收取所得款項總額約5億美元(相當於約38.75億港元)。 SCIHL擬將私人配售的所得款項用作發展新濠影滙項目的第二期及作一般企業用途，包括但不限於撥付SCIHL的營運資金及用以償還其若干債務。
根據MCO Cotai認購事項認購SCIHL的新A類股份，使集團可維持其於SCIHL的現有股權百分比，並按該百分比參與SCIHL業務的預期未來增長及發展。
