西部水泥(02233.HK)：擬7.29億元收購跑馬山水泥97.5%股權 欲將水泥業務從陝西省擴展至甘孜州
格隆匯8月2日丨西部水泥(02233.HK)宣佈，於2020年7月31日，公司間接全資附屬堯柏特種水泥與陝西凝鑫訂立購股協議(I)，堯柏特種水泥擬向陝西凝鑫收購目標公司55%股權，代價為人民幣4.2億元。此外，雙方亦協定由原有股東承擔目標公司於完成日期(I)前產生的現有債務責任及負債，而目標公司於完成日期(I)後產生的債務責任及負債則由目標公司當時的股東按比例承擔。
於同日，堯柏特種水泥與蓉聯水泥及黃四九訂立購股協議(II)，堯柏特種水泥擬分別向蓉聯水泥及黃四九收購目標公司12%及30.5%股權，並承擔目標公司若干債務，涉及的總代價為人民幣3.094億元。
目標公司乃指康定跑馬山水泥有限責任公司，其正在興建一條水泥生產線，預計完成後每年水泥產能為150萬噸。於2019年12月31日，目標公司的經審核資產總值為人民幣5.66億元，而目標公司的總負債的賬面值約為人民幣5.82億元。根據目標公司總資產及總負債的經審核賬面值，目標公司於2019年12月31日的負債淨值約為人民幣1570.76萬元。
該項目的主要目標市場為整個甘孜州地區，同時可充分利用其自身位於甘孜州西北方向的優勢地理位置及其裝備優勢，向西北南三個方向擴散發展，覆蓋川滇藏青四省交界地帶。未來依託川藏綫，可覆蓋川藏鐵路沿綫，市場區域主要覆蓋甘孜藏族自治州全境，阿壩藏族自治州南部區域和雅安西部和南部天全縣、漢源縣區域。
此外，在重點工程水泥需求方面，十三五期間，圍繞域建設川西北區性和川滇藏青結合部交通樞紐。另外，甘孜州水力資源豐富，規劃建設巴塘東南、九龍三埡、理塘查瑪日東、稻城俄牙同、道孚尼措、德格温拖、新龍通宵等水利工程。同時還將建設理塘奪曲河水庫、石渠尼呷鎮、俄多馬鄉等3座供水水庫以及理塘木拉提、九龍縣城等引水工程。這些重點工程將大幅度帶動水泥需求，增大未來的供需缺口。
公司表示，考慮到該項目於甘孜州西北方向的優勢地理位置及其裝備優勢和未來建設川西北區增大的水泥供需缺口，該次投資將能為集團提供將其水泥業務從陝西省擴展至甘孜州的良機，並將有利於集團的長期增長及未來發展計劃，亦有助集團有效地分散其地理投資風險。
