易居企业(02048.HK)发新股收购乐居 配股引资阿里巴巴(09988.HK)
易居企业控股(02048.HK)公布,向新浪及主要股东周氏收购线上线下房地产服务供应商---乐居合共56.19%股权,代价共计约22.64亿元,将透过发行代价股支付,发行价9.22元,较上交易日(31日)收报折让17.68%。
同时,向阿里巴巴(09988.HK)发行1.18亿股新股,禁售承诺十二个月,每股作价7元,较前收折让37.5%,总认购额8.28亿元;及发行本金额10.32亿元三年期2%可换股票据,换股价10.37元,较前收折让7.41%。所得总额拟用作一般营运资金及扩大现有业务。
完成发行代价股及新股後,主席周忻持股由目前22.21%增至25.79%;阿里巴巴将持有公司股本8.32%。假设换股票据悉数行使,阿里巴巴持股将进一步增至13.29%。
公司已与阿里巴巴(中国)订立业务合作协议,合作建立网上房地产营销及交易平台以及共同探索新的商业机遇。
