雲南城投(600239.SH)擬與健康公司及西苑公司進行債務抵償
格隆匯7月31日丨雲南城投(600239.SH)公佈,公司擬與雲南城投健康產業投資有限公司(下稱“健康公司”)、昆明市西苑房地產開發經營有限公司(下稱“西苑公司”)進行債務抵償。
健康公司為公司控股股東省城投集團的控股子公司。截止2019年12月31日,健康公司對公司享有12.996億元債權,其中本金11.50億元,資金佔用費1.496億元。
西苑公司為“融城園城”項目開發商,持有坐落於昆明市昌源北路與科新路交叉口的商業及寫字樓,面積約29421.24平方米(下稱“抵償資產”),抵償資產的價格約為3.32億元,最終價格以經有備案權限的上級主管部門或單位備案的評估結果為準。公司下屬全資子公司雲南紅河房地產開發有限公司對西苑公司進行受託管理。(截止2020年7月31日,公司對西苑公司享有債權本金3.52億元,資金佔用費0元)。
經友好協商,公司、健康公司、西苑公司同意,由西苑公司以其持有的抵償資產代公司向健康公司償還部分債務,債務抵償後,公司對西苑公司享有債權1998.56萬元;健康公司對公司享有剩餘債權本金9.68億元,公司應付健康公司的截止2019年12月31日的資金佔用費全部結清;健康公司取得抵償資產的所有權。
