博天環境(603603.SH)：WUJIAN辭去總裁等職務
格隆匯 7 月 31日丨博天環境(603603.SH)公佈，公司於2020年7月31日召開的第三屆董事會第二十次會審議通過了《關於補選第三屆董事會非獨立董事的議案》、《關於變更公司總裁的議案》及《關於聘任公司董事會祕書的議案》。
WUJIAN(吳堅)因個人原因辭去公司第三屆董事會董事、董事會提名委員會委員、總裁的職務，此次辭職後，WUJIAN（吳堅）將擔任公司的合資公司廣西天宜環境科技有限公司總經理職務，其將不再擔任公司其他職務。
公司董事會提名高級副總裁李璐為第三屆董事會董事、董事會提名委員會委員候選人，任期自公司2020年第二次臨時股東大會審議通過之日起至本屆董事會屆滿之日止。
上述事項尚需提交公司2020年第二次臨時股東大會審議。
公司聘任董事長趙笠鈞兼任公司總裁，任期自本次董事會審議通過之日起至本屆董事會屆滿之日止。
公司於近日收到邵東濤先生的辭職報告，邵東濤因個人原因申請辭去執行副總裁及代董事會祕書的職務，本次辭職後，邵東濤將不再擔任公司任何職務。根據《公司法》、《公司章程》等有關規定，邵東濤提交的辭職報告自送達董事會之日起生效。
公司聘任副總裁王磊為公司董事會祕書，任期自本次董事會審議通過之日起至本屆董事會屆滿之日止。王磊已獲得董事會祕書資格證。根據《公司法》、《公司章程》等相關規定，王磊具備履行董事會祕書職責所必需的專業知識、工作經驗，不存在相關法律法規規定的禁止擔任董事會祕書的情形，亦不存在受過中國證監會及其他有關部門的處罰和證券交易所懲戒的情況。
公司於近日收到王紅軍的辭職報告，王紅軍因個人原因申請辭去財務總監的職務，本次辭職後，王紅軍將不再擔任公司任何職務。根據《公司法》、《公司章程》等有關規定，王紅軍提交的辭職報告自送達董事會之日起生效。王紅軍辭職後，公司高級副總裁高峯將代行財務總監職責。
