安井食品(603345.SH)：副總經理黃清鬆、黃建聯減持違規 收到廈門證監局警示函
格隆匯 7 月 30日丨安井食品(603345.SH)公佈，公司副總經理黃清鬆、黃建聯於近日分別收到中國證券監督管理委員會廈門監管局(“廈門證監局”)出具的《關於對黃清鬆採取出具警示函措施的決定》(行政監管措施決定書〔2020〕20號)、《關於對黃建聯採取出具警示函措施的決定》(行政監管措施決定書〔2020〕21號)，現將警示函內容公告如下：
(一)黃清鬆：
作為福建安井食品股份有限公司(以下簡稱公司)副總經理, 你於2020年6月16日預先披露減持計劃，計劃通過集中競價方式或者大宗交易方式減持公司股票不超過80萬股，其中通過集中競價方式減持可於公告披露日起十五個交易日後進行(2020年7月9日至2020年12月31日)。7月7日，你通過集中競價方式減持公司股票18.9萬股，佔公司股本比例為0.0799%。前述減持行為距離減持計劃披露日未滿十五個交易日。
你的上述行為違反了《上市公司信息披露管理辦法》（證監會令第40號）第四十六條、《上市公司股東、董監高減持股份的若干規定》(證監會公告〔2017〕9號)第八條的規定。根據《上市公司信息披露管理辦法》第五十九條的規定，現決定對你採取出具警示函的行政監管措施，並將相關情況記入證券期貨市場誠信檔案。
如對本監督管理措施不服，可以在收到本決定書之日起60日內向中國證券監督管理委員會提出行政複議申請，也可以在收到本決定書之日起6個月內向有管轄權的人民法院提起訴訟。複議與訴訟期間，上述監督管理措施不停止執行。
(二)黃建聯：
作為福建安井食品股份有限公司(以下簡稱公司)副總經理，你於2020年6月16日預先披露減持計劃，計劃通過集中競價方式或者大宗交易方式減持公司股票不超過80萬股，其中通過集中競價方式減持可於公告披露日起十五個交易日後進行(2020年7月9日至2020年12月31日)。7月7日，你通過集中競價方式減持公司股票20萬股，佔公司股本比例為0.0846%。前述減持行為距離減持計劃披露日未滿十五個交易日。
你的上述行為違反了《上市公司信息披露管理辦法》(證監會令第40號)第四十六條、《上市公司股東、董監高減持股份的若干規定》(證監會公告〔2017〕9號)第八條的規定。根據《上市公司信息披露管理辦法》第五十九條的規定，現決定對你採取出具警示函的行政監管措施，並將相關情況記入證券期貨市場誠信檔案。
如對本監督管理措施不服，可以在收到本決定書之日起60日內向中國證券監督管理委員會提出行政複議申請，也可以在收到本決定書之日起6個月內向有管轄權的人民法院提起訴訟。複議與訴訟期間，上述監督管理措施不停止執行。
收到上述監管警示函後黃清鬆先生和黃建聯先生高度重視，並對本次違規減持行為給公司及全體股東造成的負面影響深表歉意。公司及全體董事、監事及高級管理人員將吸取此次教訓，進一步推動董事、監事、高級管理人員對相關法律法規、規範性文件的學習和理解，加強證券賬户日常管理，嚴格規範買賣公司股票行為。
