湯臣倍健(300146.SZ)：擬向廣州麥優增資8000萬元
格隆匯7月29日丨湯臣倍健(300146.SZ)公佈，2020年7月29日，公司與廣州佰捷投資合夥企業(有限合夥)(“廣州佰捷”)、蘭俊傑、廣州麥盟投資合夥企業(有限合夥)(“廣州麥盟”)簽署了《關於廣州麥優網絡科技有限公司增資協議》。廣州麥優網絡科技有限公司(“廣州麥優”)擬增資人民幣8500萬元，其中公司以自有資金出資人民幣8000萬元，佔增資完成後廣州麥優註冊資本的80%；廣州佰捷出資人民幣500萬元，佔增資完成後廣州麥優註冊資本的5%。
廣州麥優是公司“湯臣倍健”品牌電商渠道總經銷商，助力“湯臣倍健”品牌從零開始搭建並開啟了在線上渠道的佈局，逐步建立起較完善的電商運營體系。多年來，廣州麥優在電商運營中積累並形成了包括營銷推廣、用户運營、IT建設、倉儲物流、新媒體投放、數據分析等綜合能力，同時搭建了完善的全網分銷網絡，憑藉其優秀的運營能力不斷提升了公司品牌在電商渠道的市佔率，“湯臣倍健”品牌在電商各主要平台的銷售排名位居行業前列，廣州麥優也成為各電商平台健康行業綜合運營及服務能力優秀的企業之一。
電商渠道逐漸成為中國消費行業增長新引擎，公司此次通過增資控股廣州麥優使雙方成為目標一致的利益共同體，對公司品牌年輕化、電商品牌化戰略的實施將起到重要作用；有助於公司進一步完善在電商渠道的佈局，推動公司加快以消費者為中心的全鏈數字化系統建設,構建從會員數字化到媒介投放數字化再到電商數字化的路徑。交易完成後公司可進一步向電商渠道下游延伸，實現從產品研發、生產、營銷端直到消費者端的全鏈路一體化，全面、即時的運營和用户數據等將助推公司數字化發展和綜合競爭力的提升；吸收引入一支經過市場錘鍊的電商團隊，也將增強公司面向未來的電商人才儲備。同時此次交易可提升財務收益，通過直接供應鏈管理及協同效應，提升整體渠道的營運資本效率。
