大唐電信(600198.SH)：2家控股子公司擬增資擴股 聯芯科技擬轉讓宸芯科技15%股權
格隆匯7月29日丨大唐電信(600198.SH)公佈，公司下屬企業大唐恩智浦、江蘇安防擬通過在北交所以公開掛牌的方式引入部分投資方，並實施增資擴股。其中，大唐恩智浦擬增資總金額不低於3300萬美元。符合條件的合格投資方出資不低1683萬美元，本次進場掛牌引入增資所佔大唐恩智浦股權比例為27.41%，同時原股東恩智浦按持股比例同比增資。江蘇安防擬募集資金總額不低於3億元，計劃分兩步募集到位。本次擬增資方式募集資金不低於1.35億元，並且交易方需要同時承諾按掛牌方案及增資擴股協議約定，在本次資金實繳後1年內再次增資，並且增資價格不低於本次投後估值，最終以屆時有效的資產評估結果為準，合計增資不低於3億元。本次擬募集資金對應持股比例不低於24.83%。本次交易完成後，大唐恩智浦和江蘇安防不再納入大唐電信合併報表範圍。
公司控股子公司聯芯科技擬通過在北交所掛牌交易方式轉讓其持有的宸芯科技15%股權，對應掛牌價格為2.77億元。轉讓後，大唐電信仍間接持有宸芯科技2.23%股份。
目前，大唐恩智浦已有業務中重點規劃研發的電池管理系統(BMS)尚處於研發測試及產業化培育關鍵期，預計一定時期內仍將需要測試研發資金的持續投入，無法實現當期盈利，資金投入較大。大唐恩智浦外方股東恩智浦有限公司按原股權比例同步對大唐恩智浦進行增資，同時擬引入的第三方投資方出資完成增資。增資完成後，其將成為大唐恩智浦第三方股東。
江蘇安防為專業從事高速公路與公路隧道智能交通信息化建設、城市智能交通管理、城市軌道交通、地下綜合智慧管廊及相關係統集成的高科技企業。近年來，隨着大唐電信產業結構調整，江蘇安防與大唐電信目前的戰略及核心產業匹配度逐漸降低，產業協同性趨弱。本次引入第三方股東增資，大唐電信退出控股權，有利於大唐電信降低行業管理風險，聚焦核心業務。
宸芯科技目前處於下一代產品的研發投入期，短期內現有業務收益無法彌補全部投入，將對上市公司利潤造成一定負向影響。出於上述考慮，擬轉讓宸芯科技部分股權。
