三盛控股(02183.HK)擬3.39億港元收購物業集團 鞏固於中國物業市場地位
格隆匯7月28日丨三盛控股(02183.HK)公告,於2020年7月28日 ,買方全耀控股有限公司(公司直接全資附屬公司)訂立協議,向Mega Regal(為控股股東,於公司已發行股擁有約72.17%權益)有條件收購目標公司Rosy Path Group Limited全部股權,代價為3.386億港元,而代價將按每股股份6.8港元的發行價以發行及配發4980萬股新股份(即代價股份)的方式支付。發行價每股股份6.8港元相當於7月28日公司收市價每股6.75港元溢價約0.74%。
代價股份相當於公司於公告日期已發行股約11.29%,以及公司經發行代價股份擴大的已發行股約10.14%。
於完成後,Mega Regal將於公司經發行代價股份擴大的已發行股擁有約74.99%的權益。重組完成後,目標公司將間接持有福州伯盛95%的股權,福州伯盛的主要資產為該等目標物業。於2020年3月31日,該等目標物業市值約為人民幣100.22億元。
目標公司於2020年5月15日在英屬處女羣島註冊成立為有限責任公司,主要從事投資控股。重組完成後,目標公司將全資擁有HK Holdco,而HK Holdco則透過WFOE擁有福州伯盛95%的股權。
福州伯盛主要從事投資控股。重組完成後,WFOE及獨立第三方分別擁有該公司95%及5%的權益。主要資產為其於九間項目公司的權益,即共同持有該等目標物業的(i)福建閩僑;(ii)福州盛隆;(iii)泉州盛創;(iv)成都吉盛;(v)江蘇浙廣;(vi)揚州三盛;(vii)温嶺榮發;(viii)青島海上;及(ix)莆田市盛祥。
鑑於與集團的既定策略一致,董事會認為,收購事項體現集團孜孜以求透過擴大土地儲備及物業組合建立其市場地位及形象,並透過集團資產規模的合法及有機增長獲得更理想的全球發債評級。
於2019年11月,集團將其總部由福州遷至上海,以期進一步鞏固其在中國物業市場的地位。收購事項亦為(i)未來的發展中項目帶來穩定的收入和現金流;(ii)來自投資物業和未售物業的穩定租金收入和現金流;(iii)為未來發展帶來額外的土地儲備;及(iv)擴大在沿海地區和不同一線城市的地理覆蓋範圍。
