納思達(002180.SZ)：擬收購奔圖電子100%股權 明起復牌
格隆匯 7 月 28日丨納思達(002180.SZ)公佈，公司擬向汪東穎、李東飛、曾陽雲、呂如鬆、珠海橫琴金橋一期高端製造股權投資合夥企業(有限合夥)、嚴偉、珠海奔圖和業投資中心(有限合夥)、北京君聯晟源股權投資合夥企業(有限合夥)、孔德珠、汪棟傑、餘一丁、珠海奔圖豐業投資中心(有限合夥)、珠海奔圖恆業投資中心(有限合夥)、彭秉鈞、嚴亞春、珠海永盈投資合夥企業(有限合夥)、陳力、蔡守平、陳凌、況勇、馬麗發行股份及支付現金收購其持有的奔圖電子100%股權。此次交易完成後，奔圖電子將成為上市公司全資子公司。
同時，公司擬向不超過35名特定投資者非公開發行股份募集配套資金，募集資金總額不超過55億元，且不超過此次交易中發行股份購買資產交易價格的100%，交易價格不足55億元的，募集配套資金總額將相應進行下調；募集配套資金髮行的普通股不超過此次重組前公司總股本的30%，即319,004,999股。
根據深圳證券交易所的相關規定，經公司申請，公司股票將於2020年7月29日開市起復牌。
經多年發展，公司主營業務已由“集成電路(芯片)、通用打印耗材和再生打印耗材的研究、開發、生產和銷售”，擴展至打印機整機、原裝耗材及打印管理服務領域，完成了自零部件到打印機設備及打印管理服務的全產業鏈佈局，成為集打印、複印、整機設備、打印耗材(含原裝和通用)、各種打印配件(含打印耗材芯片)及打印管理服務於一體的綜合解決方案提供商。
奔圖電子是一家完整掌握打印機核心技術和自主知識產權，集研發、設計、生產、銷售打印機、耗材及文印輸出解決方案為一體的企業。此次交易前，奔圖電子已託管至公司，在生產和銷售資源上進行整合，此次交易將有助於雙方進一步發揮協同效應，有助於公司打造自主可控可信的生態體系，為構建自主可控的信息安全打印機產業鏈提供可靠的基礎保障。
