*ST眾泰(000980.SZ)：未及時對2019年業績預告進行修正等 收到浙江證監局警示函
格隆匯 7 月 28日丨*ST眾泰(000980.SZ)公佈，公司及相關人員於近日收到中國證券監督管理委員會浙江監管局(“浙江證監局”)出具的《關於對眾泰汽車股份有限公司及相關人員採取出具警示函措施的決定》([2020]59號)。現將具體內容公告如下：
一、決定書的主要內容：
眾泰汽車股份有限公司、金浙勇、楊海峯、張志、方茂軍：經查，我局發現眾泰汽車股份有限公司(“公司”)存在以下問題：
(一)2020年1月20日，公司披露《2019年度業績預告》顯示，歸屬於上市公司股東的淨利潤為虧損60億元至90億元。6月18日，公司披露的《2019年度業績預告修正公告》將上述金額修正為虧損108億元至115億元。6月23日，公司披露《2019年年度報告》顯示，實際業績為虧損111.90億元，與2020年1月業績預告中披露金額差異較大，公司未及時對2019年業績預告進行修正。
(二)公司在編制2019年一季報、半年報和三季報過程中，因出現會計差錯，導致營業收入、營業成本同時虛增，信息披露不準確。
上述行為違反了《上市公司信息披露管理辦法》第二條的規定，公司董事長兼總裁金浙勇、董事會祕書楊海峯、財務總監張志、時任財務總監方茂軍違反了《上市公司信息披露管理辦法》第三條的規定，對公司信息披露不及時、不準確負有主要責任。按照《上市公司信息披露管理辦法》第五十八條、第五十九條規定，我局決定對你們採取出具警示函的監督管理措施，並計入證券期貨市場誠信檔案。公司應當在2020年8月7日前向我局提交書面報告。
如對本監督管理措施不服，可在收到本決定之日起60 日內向中國證券監督管理委員會提出行政複議申請，也可在收到本決定書之日起6個月內向有管轄權的人民法院提起訴訟。複議與訴訟期間，上述監督管理措施不停止執行。
收到上述警示函後，公司及全體董事、監事、高級管理人員高度重視，深刻反思公司信息披露工作中存在的問題和不足，公司將遵照浙江證監局的要求，積極整改。公司將進一步加強董事、監事、高級管理人員對《中華人民共和國證券法》《上市公司信息披露管理辦法》等相關法律法規的學習和能力培養，進一步規範公司運作水平，不斷提高信息披露質量，切實依法履行信息披露義務，杜絕此類事件的再次發生。
