*ST安通(600179.SH)：收到招商港口支持函
格隆匯 7 月 27日丨*ST安通(600179.SH)公佈，2020年7月27日，公司收到了招商局港口集團股份有限公司(“招商港口”)發來的《支持函》，《支持函》主要內容如下：
安通控股股份有限公司(“安通控股”，證券代碼：600179)是集綜合物流、供應鏈金融、船舶管理、物流園區開發與管理於一體的大型多式聯運物流產業集團，由於其控股股東非法佔用安通控股資金、違規擔保等內部因素以及經濟下行和市場因素等外部問題，導致安通控股及其核心全資子公司泉州安通物流有限公司(“安通物流”)、泉州安盛船務有限公司(“安盛船務”)等三家公司深陷債務危機。2019年12月18日，安通物流、安盛船務被福建省泉州市豐澤區人民法院裁定進入破產重整程序；2020年3月25日，安通控股債權人向泉州市中級人民法院(“法院”)申請安通控股進行破產重整。根據最高人民法院發佈的《關於審理上市公司破產重整案件工作座談會紀要》，安通控股的破產重整案件在法院裁定受理之前需要徵求證券監督管理部門的意見。
安通控股作為我國內貿物流行業市場份額佔比前三的經營主體之一，擁有較為成熟的承運船隊及運輸航線，如能通過破產重整程序化解目前三家公司的債務危機，維持持續經營，將有利於保持我國內貿物流行業健康有序的市場競爭機制，有利於做好中央提出的“六穩六保”工作。基於此，就安通控股被債權人申請進行破產重整事項，招商港口有意提供相關支持如下：
一、在安通控股現有股東和債權人能通力協作，通過合法方式全面解決其控股股東違規佔用資金、為控股股東等關聯方違規提供擔保等問題，有效化解目前三家公司的債務危機後，若安通控股後續順利被法院裁定進入重整程序，在與管理人及/或安通控股等相關各方就具體投資方案協商一致的基礎上，且在符合相關法律法規並履行相應國資審批及招商港口作為上市公司應履行的相關內部批準等程序的前提下，招商港口或招商港口指定的第三方有意向通過包括但不限於對安通控股進行戰略投資等方式支持安通控股的破產重整事項。
二、在安通控股順利實施破產重整且招商港口或招商港口指定的第三方成功對安通控股進行戰略投資後，招商港口或招商港口指定的第三方將積極履行股東義務，通過協助其進行主營業務整合優化等方式，促進其依法合規經營，幫助其提升整體業務實力和盈利水平，支持其業務規模和發展質量的提升，共同為“六穩六保”做出貢獻。
