ST安泰(600408.SH)擬與河北環亞公司按“合同能源管理”模式建設1×40MW高温超高壓煤氣發電項目
格隆匯 7 月 27日丨ST安泰(600408.SH)公佈，公司現有總裝機容量為74MW的發電機組，原與公司所在工業園區的焦化、鍊鐵、鍊鋼生產工藝產出的煤氣相平衡。目前園區企業生產均基本處於滿負荷狀態，園區內產出的煤氣除大部分用於滿足生產工藝使用外，還有部分放散，為充分利用園區富餘煤氣的熱源，本着“節約能源，保護環境”的原則，經公司相關單位前期論證，建議利用現有富裕煤氣新建一套發電機組。
經公司於2020年7月27日召開的第十屆董事會二○二○年第四次臨時會議審議通過，同意公司與河北環亞化工建材有限公司(“河北環亞公司”)按照“合同能源管理”模式建設1×40MW高温超高壓煤氣發電項目(“該項目”)，雙方簽署了該項目的《合同能源管理(EMC)合同》。
該項目是指由河北環亞公司投資的，在公司廠區內(毗鄰於公司現有的25MW機組)建設能力為1×40MW高温超高壓煤氣發電裝置。包含但不限於河北環亞公司投資建設並安裝於現場的發電設備、輔助裝置及建構築物等。該項目分投資、建設、運行、移交四個階段實施。項目建設及投資風險由河北環亞公司承擔，公司通過提供合作條件獲得分享的碳減排收益、節能減排財政補貼等節能獎勵資金以及效益分享期滿後擁有本節能服務項目的全部節能收益。河北環亞公司以節能服務費收入收回投資、支付服務成本和税金、獲取合理利潤。
根據該項目技術方案，項目燃料設計需使用焦爐煤氣8000Nm3/h、高爐煤氣80000Nm3/h、轉爐煤氣10000Nm3/h。該項目建成投產後，公司需向關聯方新泰鋼鐵採購高爐煤氣和轉爐煤氣，因此，該等採購構成公司與新泰鋼鐵之間的關聯交易。經測算，公司每年度因該項目需向新泰鋼鐵採購高爐煤氣及轉爐煤氣的交易額共計約4320萬元。
該項目通過合同能源管理模式由第三方籌建，一方面符合國家節能、環保政策，另一方面，有利於充分利用園區富餘煤氣的熱源，實現經濟、節能雙效益。項目投運後，公司年發電量及相應經濟效益將總體增加。
