勇利投资(01145.HK)建议股本重组
格隆汇 7 月 27日丨勇利投资(01145.HK)发布公告，董事会拟向股东提呈股本重组建议，当中将涉及下列各项：(i)削减公司已发行股本，据此，藉注销每股已发行股份0.059美元的缴足股本，将每股已发行股份的面值由0.06美元削减至0.001美元；(ii)于紧随股本削减后，公司将法定股本中每一股面值0.06美元的未发行股份拆细为60股每股面值0.001美元的股份，届时，公司于紧随股本削减及股份拆细后的法定股本为1.8亿美元，拆分为1800亿股每股面值0.001美元的股份；(iii)削减股份溢价账，即削减公司股份溢价账内的整笔进账金额；(iv)将股本削减及削减股份溢价账所产生的进账金额转拨至公司的实缴盈余账；及(v)按百慕达法例及细则所允许，将公司实缴盈余账内的进账金额用于抵销公司的累计亏损。
公司亦拟于股本重组生效后将股份于香港联交所报价及买卖的每手买卖单位由1,000股股份更改为20,000股股份。
待(其中包括)股本重组生效后，公司拟透过按于记录日期每持有一股股份获发一股发售股份的基准，按认购价每股发售股份0.13港元公开发售548,851,784股发售股份，以筹集约7135万港元(扣除开支前)，股款须于申请时缴足。认购价乃公司与包销商经公平磋商后达致。
为配合集团扩大其海运业务规模的企业发展策略，集团一直物色投资商机，以透过收购额外船舶提升其乾散货船队的运载能力。目前，公司已物色到收购一艘运载力约57,000载重吨的超灵便型二手乾散货船的机遇，以期扩充其现有由三艘超灵便型船舶组成且总运载力约171,000载重吨的船队。
公开发售的所得款项净额预计约为6769万港元。董事会相信该笔所得款项可为公司提供即时流动现金，从而令公司在识别到合适船舶后能立即把握收购机遇。在进行收购船舶前，公司拟将所得款项净额约2200万港元用于偿还集团现有银行循环贷款以即时减省财务成本，同时将公开发售的所得款项余额用作集团的一般营运资金及╱或待收购作实后用于收购船舶事项。
