啟迪環境(000826.SZ)：擬對5家控股子公司增資 涉及5個項目
格隆匯 7 月 26日丨啟迪環境(000826.SZ)公佈，為提升辛集市生活垃圾焚燒發電項目與辛集市清潔化工園區動力工程項目(熱電聯產項目)資產質量，公司擬以債轉股方式對公司間接全資子公司辛集冀清環保能源有限公司(“辛集冀清”)進行增資，將其注冊資本由人民幣2.7億元增加至人民幣3.7億元，新增註冊資本人民幣1億元由公司全額認繳。本次增資完成後，辛集冀清註冊資本變更為人民幣3.7億元，其中，公司出資人民幣3.63億元，佔其註冊資本的98.11%；合加新能源汽車有限公司(“合加新能源”)出資人民幣700萬元，佔其註冊資本的1.89%。
為實施亳州生活垃圾焚燒處理二期項目，公司決定以貨幣方式對間接全資子公司亳州潔能電力有限公司(“亳州潔能”)進行增資，將其註冊資本由人民幣2.8億元增加至3.625億元，新增註冊資本人民幣8250萬元由公司全額認繳。本次增資完成後，亳州潔能註冊資本變更為人民幣3.625億元，其中，公司出資人民幣3.505億元，佔其註冊資本的96.69%；公司全資子公司合加新能源出資人民幣1200萬元，佔其註冊資本的3.31%。
為實施鉅鹿縣生活垃圾處理二期項目，公司決定以貨幣方式對間接全資子公司鉅鹿縣聚力環保有限公司(“鉅鹿聚力”)進行增資,將其註冊資本由人民幣2億元增加至3.4億元，新增註冊資本人民幣1.4億元由公司全額認繳。本次增資完成後，巨鹿聚力註冊資本變更為人民幣3.4億元，其中，公司出資人民幣3.2億元，佔其註冊資本的94.11%；公司全資子公司合加新能源出資人民幣2000萬元，佔其註冊資本的5.89%。
為提升蘭陵縣生活垃圾焚燒發電項目質量，公司擬以債轉股方式對公司間接全資子公司蘭陵蘭清環保能源有限公司(“蘭陵蘭清”)進行增資，將其註冊資本由人民幣3.25億元增加至人民幣3.55億元，新增註冊資本人民幣3000萬元由公司全額認繳。本次增資完成後，蘭陵蘭清註冊資本變更為人民幣3.55億元，其中，公司出資人民幣3.425億元，佔其註冊資本的96.48%；合加新能源出資人民幣1250萬元，佔其註冊資本的3.52%。
為實施漣水縣生活垃圾處理項目，公司全資子公司桑德環境(香港)有限公司(“桑德香港”)擬以貨幣方式對公司間接全資子公司淮安零碳能源環保科技有限公司(“淮安零碳”)進行增資，將其註冊資本由人民幣1.7億元增加至人民幣17093萬元(本次擬增資金額為133,812.8美元，暫以93萬元人民幣計，具體金額最終以繳款當日中國人民銀行公佈的美元與人民幣基準匯率折算為準)，新增註冊資本133,812.8美元由桑德香港全額認繳。本次增資完成後，淮安零碳註冊資本變更為人民幣17093萬元(擬定)，其中，桑德香港出資13293萬元人民，佔其註冊資本的77.77%；公司出資人民幣3640萬元，佔其註冊資本的21.3%；合加新能源出資人民幣160萬元，佔其註冊資本的0.93%。
公司上述對外投資事項涉及的交易總金額為人民幣35343萬元，佔公司最近一期經審計總資產的0.79%，佔公司最近一期經審計淨資產的2.35%。
