中潛股份(300526.SZ)：未披露關聯關係及關聯方資金往來未履行審批程序及信披義務 收到廣東證監局行政監管措施決定書
格隆匯 7 月 24日丨中潛股份(300526.SZ)公佈，2020年7月24日，公司收到中國證券監督管理委員會廣東監管局(“廣東證監局”)出具的《關於對中潛股份有限公司採取責令改正措施的決定》(行政監管措施決定書〔2020〕113號)，具體內容如下：
“經查，你公司存在以下信息披露違規行為：
一、未披露關聯關係。截至2020年7月10日，張順、楊學君為你公司實際控制人。經查，深圳市中天潛水裝備有限公司(以下簡稱中天裝備)、惠州市雅妍美容服務有限公司(以下簡稱惠州雅妍)均為張順實際控制的企業，為你公司的關聯方。你公司未披露與這些公司之間的關聯關係，違反了《上市公司信息披露管理辦法》第二條、第四十八條的相關規定。
二、關聯方資金往來未履行審批程序及信息披露義務。經查，中天裝備、惠州雅妍等公司關聯方與你公司及其子公司連續發生多筆大額資金往來，其中2019年你公司及其子公司直接向上述關聯方劃轉資金累計8975.71萬元，上述關聯方直接向你公司及其子公司劃轉資金累計7335.4萬元。上述資金往來構成關聯交易，你公司未對上述關聯交易履行相關關聯交易審批程序和信息披露義務，違反了《上市公司信息披露管理辦法》第二條、第四十八條的相關規定。
根據《上市公司信息披露管理辦法》第五十九條的規定，我局決定對你公司採取責令改正的行政監管措施。你公司應於收到本決定書15個工作日內依法按規定充分披露前述關聯交易發生的時間、金額、內容、性質等信息，並履行關聯交易審批程序。你公司應高度重視，認真整改，同時公司應對相關責任人員進行內部問責，於收到本決定書30日內向我局報送整改報告、內部問責情況，並抄報深圳證券交易所。
如果對本監督管理措施不服，可以在收到本決定書之日起60日內向中國證券監督管理委員會提出行政複議申請；也可以在收到本決定書之日起6個月內向有管轄權的人民法院提起訴訟。複議與訴訟期間，上述監督管理措施不停止執行。”
公司董事會對上述問題高度重視，將全面梳理相關情況，在期限內嚴格按照《上市公司信息披露管理辦法》的有關規定切實履行信息披露義務和相關審批程序。同時，公司將充分吸取教訓，加強相關法律法規的學習，認真整改，落實相關責任人員的內部問責，並及時向廣東證監局報送相關書面文件。
