匯盈控股(00821.HK)擬折讓約4.31%配售最多2.46億股 淨籌4820萬港元
格隆匯 7 月 24日丨匯盈控股(00821.HK)公告，於2020年7月24日，公司與配售代理訂立股份配售協議，據此，公司有意提呈發售不附帶任何產權負擔的配售股份作認購，並委任配售代理根據股份配售協議所載條款及條件，按竭盡所能基準單獨及獨家配售及促成配售股份認購。配售代理須促成不少於六名股份配售承配人按每股配售股份0.2港元價格認購最多2.46億股配售股份。配售股份相當於擴大已發行股份總數約16.66%。
配售價為每股配售股份0.2港元，較7月24日收市價每股0.209港元折讓約4.31%；假設配售代理成功配售全部配售股份，股份配售所得款項淨額約4820萬港元
用於(i)一般營運資金約3320萬港元；及(ii)以下章節所述有關合營協議及許可協議可能業務發展約1500萬港元。由於配售股份將根據一般授權配發及發行，因此股份配售毋須取得股東批准。公司將向聯交所上市委員會申請批准配售股份上市及買賣。
於2020年7月24日，公司與配售代理訂立可換股債券配售協議，據此，公司有意提呈發售作認購，而配售代理已同意根據可換股債券配售協議所載條款及條件，按竭盡所能基準促成可換股債券認購。配售代理須促成不少於六名可換股債券配售承配人認購金額最多為5200萬港元可換股債券。
初步換股價0.2港元較7月24日收市價每股0.209港元折讓約4.31%。假設配售代理成功配售全部可換股債券，公司擬將可換股債券配售的所得款項淨額約5020萬港元。
於2020年7月17日，VCGlobal與VastSea及SuccessHealth訂立合營協議，據此，VCGlobal及VastSea已同意成立一間合營公司(即SuccessHealth)以經營及進行該業務。
SuccessHealth與VastSea訂立許可協議，據此，SuccessHealth期望以AVL-19方式營銷及銷售核心成分，並開發核心成分的其他潛在用途及應用，而VastSea期望SuccessHealth擁有以AVL-19方式於全球生產、轉授許可以及營銷及銷售核心成分的唯一合法權利，並通過SuccessHealth及其關聯公司開發核心成分的其他潛在用途及應用。
