南京聚隆(300644.SZ)：異動公告信息披露不完整 收到江蘇證監局警示函
格隆匯 7 月 24日丨南京聚隆(300644.SZ)公佈，今日收到中國證券監督管理委員會江蘇證監局(以下簡稱“江蘇證監局”)出具的《江蘇證監局關於對南京聚隆科技股份有限公司採取出具警示函監管措施的決定》(【2020】64號)，現將有關情況公告如下：
“南京聚隆科技股份有限公司：
經查，3月7日，你公司發佈《股票交易異常波動公告》，稱：“為支援應對疫情的防控防治，公司復工後積極組織技術攻關團隊，於近日開發出聚丙烯熔噴專用料通用型和抗菌型兩大系列，是可適用於口罩生產的原材料。目前公司聚丙烯熔噴專用料已有部分量產，後續將有所增加。”
根據《上市公司信息披露管理辦法》第二條和第三十六條的規定，你公司針對股價異動應及時瞭解造成股價異常波動的影響因素，真實、準確、完整的介紹相關業務，避免投資者對公司聚丙烯熔噴專用料的生產銷售及業績影響產生不必要的誤解。你公司在此次股價異動公告中未披露聚丙烯熔噴專用料對主營業務收入佔比較小的情況，也未説明是否會對公司業績產生重大影響，信息披露不完整。
上述行為違反了《上市公司信息披露管理辦法》第二條的規定。根據《上市公司信息披露管理辦法》第五十九條的規定，我局決定對你公司採取出具警示函的行政監管措施，並計入證券期貨市場誠信檔案。你公司應充分吸取教訓，加強內部管理，依法履行信息披露義務，確保信息披露真實、準確、完整、及時、公平。
如果對本監督管理措施不服，可以在收到本決定書之日起60內向中國證券監督管理委員會提出行政複議申請，也可以在收到本決定書之日起6個月內向有管轄權的人民法院提起訴訟。複議與訴訟期間，上述行政監管措施不停止執行。”
收到上述警示函後，公司高度重視。公司將加強董事、監事、高級管理人員及相關人員對《上市公司信息披露管理辦法》等相關法律、法規的學習和領會，加強內部管理，依法履行信息披露義務，確保信息披露真實、準確、完整、及時、公平，不斷提高信息披露質量，維護公司及體股東的利益，杜絕此類事件再次發生。
