傑地集團(08313.HK)與潛在夥伴磋商以取代iProsperity Group
格隆匯7月23日丨傑地集團(08313.HK)公告，內容有關根據交易就澳大利亞酒店組合交易設立一支新基金即ZACD澳大利亞酒店基金。
根據由集團及iProsperity Group按等額基準(50%-50%)聯合成立的合營特殊目的實體(買方代表)與澳大利亞酒店組合的賣方間於2019年7月簽訂的初始收購文件，合營特殊目的實體迄今已根據初始收購文件的條款及條件悉數取得總額為1025萬澳元的按金，該筆款項由ZACD澳大利亞酒店基金及iProsperity Group等額支付。
原定目標的交易完成日期為初始收購文件中交易完成條件大致達成後的2020年3月前後。由於當時爆發了2019冠狀病毒病疫情及市場情況惡化以及iProsperity Group一位主要投資者的退出，合營特殊目的實體與賣方進行了進一步談判，其後於2020年六月簽訂了補充收購文件，作為對訂約方訂立的初始收購文件的補充，根據收購文件，(i)經過磋商，澳大利亞酒店組合將剔除6個租賃酒店物業；(ii)經過磋商，降低了17個酒店物業2.126億澳元的購買價；及(iii)交易完成時間已經重新安排並延期，收購文件規定(除其他事項外)，合營特殊目的實體需於2020年6月24日前支付／確保支付額外按金800萬澳元，該日期並進一步延至2020年7月21日。
目前公開資訊中顯示，iProsperity Group旗下位於澳大利亞的大部分公司近來處於自願接管的狀態下。據集團所知，由於iProsperity Group目前面臨嚴重的財務困難， iProsperity Group並無根據補充收購文件代合營特殊目的實體就交易向賣方支付額外按金。根據收購文件，iProsperity Group無根據收購文件的條款及條件支付額外按金的行為可能構成了合營特殊目的實體的違約行為。監於上述情況，董事們認為iProsperity Group將無法繼續進行該交易，目前正評估該交易對集團的財務和經營可能產生的潛在影響。如該交易有任何新進展，集團將按需要作出進一步更新公告。
董事們明白，2019冠狀病毒病大流行對世界各地的酒店業造成了負面影響。集團將考慮採取戰略手段管理基金，以應對此類宏觀經濟變化。此外，集團正持續與賣方溝通，探討在無須iProsperityGroup參與下繼續交易的可能性或任何其他的可行方案，同時與潛在投資夥伴進行磋商以取代iProsperity Group。
截至公告日，我們的ZACD澳大利亞酒店基金的基金規模約為4500萬澳元，其中約1400萬澳元是由集團從過渡性儲備基金中撥出的。我們的投資管理服務面臨諸多商業風險，包括但不限於房地產項目的投資表現或不理想，或未能達致其投資目標回報，且倘我們未能為項目爭取到充足的投資者資金，我們可能無法補充過渡儲備基金。
