中國石化(600028.SH)擬出售油氣管道等資產 由國家管網集團進行集約化管理
格隆匯7月23日丨中國石化(600028.SH)公佈，公司及子公司擬將其持有的相關公司股權、油氣管道及配套設施等資產轉讓給國家管網集團，以國家管網集團增發的股權和/或支付的現金作為交易對價。
受限於經有權機構核准/備案的標的資產評估值，並經協商，公司將所屬天然氣管道、原油管道相關公司的股權以471.13億元的價格轉讓給國家管網集團以獲得國家管網集團增發的471.13億元註冊資本；
公司全資子公司中石化天然氣公司將所屬天然氣管道相關公司股權以415.09億元的價格轉讓給國家管網集團以獲得國家管網集團增發的228.87億元註冊資本及支付的186.21億元現金；
公司的控股子公司冠德公司將下屬中石化榆濟公司100%股權以32.20億元的價格轉讓給國家管網集團以獲得國家管網集團支付的現金對價；
公司控股子公司銷售公司將所屬成品油管道資產以308.13億元的價格轉讓給國家管網集團以獲得國家管網集團支付的現金對價。
本次交易取得的約526.55億元現金對價，扣除相關支出及成本後將用於以下用途：(1)堅持高質量勘探和原油效益開發，推動天然氣建產上產，拓展市場空間；加快煉油業務基地化建設，抓好產品結構優化；加快化工業務結構調整、提質升級，培育新的增長點，做大經營總量。同時，在持續鞏固傳統油氣業務優勢的基礎上，進一步拓展新業務：一是拓展成品油銷售終端網絡，穩固市場佔有率，佈局加氫、充換電等新能源站；二是大力發展新興業務，擴展和提升易捷便利店業務，加快發展汽服、廣告、金融等產業鏈延伸項目；三是結合物聯網、雲計算、人工智能等新技術，建設完善大數據分析平台等新一代信息系統，全面提升經營服務能力；(2)約32億元現金在扣除相關支出及成本後，用於支持中石化冠德控股有限公司進一步發展原油碼頭和儲存業務及補充其一般營運資金；及(3)其餘用作改善財務狀況及補充一般營運資金。
本次交易出售的相關管道資產由國家管網集團進行集約化管理，助力公司用好新增管網資源，提高公司自產油氣實現價格。本次交易後，中國石化可以進一步集中資源，圍繞建設世界領先潔淨能源化工公司目標，聚焦核心主營業務，進一步夯實資源基礎，做強潔淨能源和合成材料業務。
本次交易預計可增加税前利潤約365.94億元，中石化天然氣公司、銷售公司和冠德公司合計獲得現金對價約526.55億元。本次交易完成後，公司資產負債率將降低，財務狀況更加穩健。
