易事特(300376.SZ)：公司將變更為無控股股東和實控人
格隆匯 7 月 22日丨易事特(300376.SZ)公佈，2020年7月21日,揚州東方集團有限公司(“東方集團”)、何思模與廣東恆鋭股權投資合夥企業(有限合夥)(“廣東恆鋭”)簽署了《關於轉讓所持易事特集團股份有限公司股份之股份轉讓協議》、《關於易事特集團股份有限公司表決權放棄協議》，擬以協議轉讓的方式轉讓其持有的上市公司18%的無限售流通股股份(共計約4.18億股)，並且東方集團不可撤銷地放棄其此次交易完成後持有的剩餘全部上市公司股份(約8.79億股，占上市公司總股本的37.8841%)的表決權，此次權益變動不觸及要約收購。此次股份轉讓的轉讓價格為4.43元/股股份轉讓總價款共計約18.5億元。廣東恆鋭全部以現金方式支付股份轉讓價款。
此次權益變動後，廣東恆鋭持有4.18億股公司股票，佔公司總股本18%，擁有表決權的股份4.18億股，擁有表決權股份佔公司總股本的18%；東方集團持有易事特8.79億股，占上市公司總股本的37.8841%，擁有表決權的股份0股，擁有表決權股份佔公司總股本的0%。
東方集團及其一致行動人合計持有易事特10.73億股，占上市公司總股本的46.2632%，擁有表決權的股份1.94億股，擁有表決權股份佔公司總股本的8.3791%。
此次交易涉及公司控股股東及實際控制人發生變化。根據此次股份轉讓完成後上市公司的股權結構以及公司治理情況，上市公司在此次股份轉讓完成後將變更為無控股股東和實際控制人。
截至公告日，轉讓方揚州東方集團有限公司所持公司股份尚有.93億股存在質押情況，以及通過中信證券股份有限公司客户信用交易擔保證券賬户持有2.1億股。東方集團已與相關質權及被擔保方就股份交割達成一致可實施方案。如上述受限股份未及時滿足交割條件，則此次交易尚存在不確定性。
此次交易若順利實施，將引入廣東省省屬國資、東莞市屬國資、松山湖高新區國資平台共同出資入股，國有資本股東的加入有助於公司優化股東結構，提高承接大型項目的能力，進一步提升公司的資信能力及抗風險能力，增強公司的品牌、資金和市場開拓能力。
