新麗傳媒商譽預計減值37至47億元 閲文新管理層上任三月又遇歷史難題
7月20日晚,閲文集團(00772.HK)發佈盈利預警公告,預計2020上半年將由盈轉虧,此次虧損原因是收購新麗傳媒而導致的商譽及商標權減值人民幣37億元至人民幣47億元。

據悉,2018 年10月,時任閲文集團聯席CEO的吳文輝和樑曉東以不超過155 億元的價格完成對新麗的併購,新麗傳媒則承諾在2018、2019、2020 年淨利潤不低於5 億元、7億元和9億元,目前新麗已經連續兩年沒有完成業績承諾。同時,公告中顯示,預計今年內新麗傳媒的收入及經營業績亦無法達到預期,按收購協議條款,獲利計酬代價預計將相應調減,今年上半年淨虧損預計減少人民幣13億元至人民幣17 億元。
公告認為,本次新麗的商譽減值是受到行業因素和疫情因素影響。一方面,由於影視行業持續深度調整和規範管理升級,全行業備案、開機、上線項目數量下滑,對影視公司的項目數量和項目利潤等造成影響;另一方面,新冠病毒疫情的爆發對影視行業造成衝擊,影視項目製作延期、上線時間不確定。受此影響,新麗傳媒的影視項目整體週期變長,不確定性增加。
值得注意的是,2020年4月底,閲文集團剛剛完成新舊管理層更迭,由騰訊集團副總裁、騰訊影業CEO 程武出任閲文集團CEO 和執行董事,騰訊平台與內容事業羣副總裁侯曉楠出任總裁和執行董事。不料甫一上任,就遭遇了由過往歷史合同引發的風波,激發了作家羣體的不滿。所幸反應及時,新管理層主動下場與作家懇談,承諾大力改革在行業實施多年的不合理條款,並在一個月內推出讓作家可選的多份新合同模式,祭出多項舉措嚴打盜版。很快,多位白金大神和大批作家選擇迴歸閲文,一份舊合同引發的軒然大波才得以平息。經此一戰,程武帶領的新團隊無論在舉措力度還是處理速度上都受到好評,閲文股價也在換帥後翻了一倍。如今,上任不到三個月,新管理層卻又面臨盈利預警和新麗商譽減值等嚴峻的歷史問題和經營挑戰。
不過,過去一年,影視行業的商譽及資產減值也出現了集中釋放現象。據不完全統計,多家影視上市公司紛紛進行了商譽減值,包括華策計提商譽減值8.4億,北京文化13億,長城影視9億,萬達電影56億。
但也有好消息傳來。7月16日,《國家電影局關於在疫情防控常態化條件下有序推進電影院恢復開放的通知》發佈。雖然市場正常經營環境的恢復仍需時間,但深處寒冬的影視業終於看到了希望。
按公告披露,本次商譽計提事項主要為賬面影響,僅影響報表利潤,不影響實際現金流和業務盈利能力。有分析人士認為,商譽減值是影視行業在寒冬期冷靜反思、價值迴歸的過程。從戰略佈局上看,新麗對閲文具有重要的價值,拓展了閲文向下遊延展的內容能力,有助於釋放閲文IP 的價值潛力。此前雙方合作的《慶餘年》影視劇成為2019年最火爆的劇集,大幅提升了閲文與新麗聯手IP 開發的想象空間。
