經緯輝開(300120.SZ)擬對諾思(天津)微系統進行投資
格隆匯 7 月 20日丨經緯輝開(300120.SZ)公佈，公司於2020年7月20日召開第四屆董事會第三十三次會議，審議通過了《關於公司對外投資的議案》。公司擬使用自有資金對諾思(天津)微系統有限責任公司(“諾思”或“標的公司”)進行投資。投資協議的主要內容如下：
甲方：天津經緯輝開光電股份有限公司；乙方：諾思(天津)微系統有限公司
(一)《股權投資協議(一)》
1、甲方向乙方投資人民幣440萬元，佔乙方此輪投後股權比例的0.4%。
2、在協議雙方簽訂後以及取得乙方股東會同意此次增資決議後3個工作日內支付50%，即人民幣220萬元；在乙方完成股權的工商登記變更後3個工作日內支付剩餘50%，即人民幣220萬元。
（二）《股權投資協議（二）》
1、甲方向乙方投資人民幣1.23億元，甲方通過此次投資取得乙方10.06%的股權(在乙方完成2640萬元股權融資後)。
2、甲方成為乙方股東後，依照法律、協議和公司章程的規定享有所有股東權利並承擔相應股東義務。
(三)《股權投資協議補充協議》
1、優先權
甲方首筆投資款到賬日起至後續6個自然月止，甲方或其指定方有權優先對乙方進行繼續增資，增資金額在2.25億-4.5億。
2、估值保障
甲方或其指定方在優先期內擬對乙方進行繼續增資。對乙方增資的投前估值按不超過15億元確認。甲方及其指定方的增資份額分配方式由甲方自行協商確定。
3、更換公司董事長、總經理、法定代表人
乙方在甲方首筆投資款到賬日起30個工作日以內，乙方股東會需要審議同意乙方董事長由陳建波擔任、總經理由陳素羣擔任、法定代表人由陳建波先生擔任並完成工商變更。乙方股東會未達成該議案構成乙方投資協議和補充協議的違約責任。
標的公司諾思(天津)微系統有限責任公司，主要從事射頻前端薄膜體聲波濾波芯片及模塊的設計、研發、生產和銷售。濾波器在無線通信、Wi-Fi、藍牙、全球導航衞星系統(GNSS)等方面都具有廣泛的應用，市場需求保持活力。諾思是中國首家射頻前端薄膜體聲波濾波芯片生產企業，技術水平世界領先，打破了歐美國家的技術壟斷，填補了國內射頻前端薄膜體聲波射頻芯片領域的空白，具有廣闊的市場前景。
