潤欣科技(300493.SZ)擬與得倍電子在高清LED驅動芯片設計等領域開展業務合作 或取得其不超19.9%股權
格隆匯 7 月 20日丨潤欣科技(300493.SZ)公佈，公司根據發展規劃和拓展半導體設計業務的經營需要，擬與上海得倍電子技術有限公司(“得倍電子”)進行合作並對其投資。近日，公司就此次合作與投資事宜與得倍電子簽署《合作與投資意向書》，擬在高清LED驅動芯片設計、數據通訊接口模塊、智能LED控制系統開發、高速視頻傳輸接口芯片設計等領域開展業務合作。
意向書內約定，在簽署協議後，潤欣科技向得倍電子支付1000萬元人民幣作為投資意向金。得倍電子同意在2021年6月30日前，潤欣科技有權以得倍電子投後2.2億人民幣的估值對得倍電子進行增資(可以部分購股)，取得得倍電子19.9%的股權。若得倍電子在潤欣科技完成投資之前獲得其他新投資者不低於投後估值3億元的新投資，潤欣科技應在此之前完成前述投資流程，如潤欣科技無法完成相應的投資，則潤欣科技有權要求得倍電子返還意向金。
在得倍電子完成約定經營業績的情況下，潤欣科技有權按協議約定的估值啟動投資或收購流程；如果得倍電子未能完成約定的經營業績，潤欣科技最終的投資及收購未能在2022年底前完成，則潤欣科技有權要求得倍電子全額返還意向金。
意向書內約定的得倍電子的經營業績承諾：1)2020年12月31日完成至少一個市場主流客户的正式批量銷售；2)2021年經審計税後利潤不低於1500萬元。
《合作與對外投資的議案》已經公司第三屆董事會第十四次會議審議通過，經審議，董事會同意公司與得倍電子進行合作，在得倍電子達成芯片量產與業績目標的前提下，公司計劃對得倍電子進行增資(部分購股)，取得得倍電子不超過19.9%的股權。
此次合作與對外投資是公司根據發展規劃和拓展半導體設計業務的經營需要做出的決策，通過此次投資合作，公司可配合現有的通訊和安路科技FPGA(邏輯器件)產品線在LED智能控制系統、LED顯示屏驅動IC、和5G通訊模塊等領域產生協同效應，提升公司主營業務的核心競爭力，符合公司向半導體芯片設計和智能通訊系統集成發展的經營策略。
